Non-banking finance companies (NBFCs) will likely see around one-third rise in their non-performing assets (NPAs) after the Reserve Bank of India’s (RBI) latest clarification on upgradation of non-performing non performing assets (NPAs) kicks in.

On November 12, the central bank said loan accounts classified as NPAs may be upgraded to ‘standard’ assets only if the entire arrears of interest and principal are paid by the borrower. The rule will apply to both banks and NBFCs.

India Ratings said NBFCs will likely have modest impact on provisioning because of the clarification as such lenders are using Indian Accounting Standard (IND-As), and generally for higher-rated NBFCs, provision policy is more conservative than income recognition, asset classification (IRAC) requirements. However, NBFCs would have to invest in systems and processes to comply with daily stamping requirements, India Ratings said, adding that it understands that NBFCs have presented to the RBI for providing a transition period on this requirement.

“Accounts can get into NPA category just for a day’s delay in paying the instalments and once it gets categorised as NPA it will not be able to become standard unless all the arrears are cleared. So, in other words, accounts would get categorised as NPAs at a faster pace and would remain sticky in that category for a longer period of time. Both these accounting treatments would result into higher headline number for NBFCs. It may so happen that NBFCs would disclose NPA numbers as per IRAC norms and stage 3 numbers as per Ind-As separately in their disclosures,” India Ratings said.

The recent Reserve Bank of India clarification on banks’ promoter holdings is likely to benefit IndusInd Bank, if the central bank does not have any issues related to the promoters, Emkay Global said in a report.

In IndusInd Bank, the Hinduja brothers hold a 16.5 percent stake. The increase in promoter stake will boost the bank’s financial strength, and their clients will be protected.

The RBI had recently clarified that the promoters who have recently reduced their holdings to below 26% and want to increase it back, can approach the central bank. The promoter will have a choice to bring down the promoter holding to below 26% after the initial locking period is over.

The RBI retained the norm to maintain a minimum (floor) of 40% of paid-up voting equity share capital by the promoter for the first five years, but there is no cap on the promoters’ holdings in the initial five years, Emkay highlighted. That said, the cap on the promoter’s stake over 15 years has been raised from 15% to 26%, which was implemented in the case of Kotak Mahindra Bank.

Non-promoter shareholding will be capped at 10% of the paid-up voting equity share capital of the bank for natural persons and non-financial institutions and at 15% for all categories of financial institutions, supranational institutions, public sector undertaking or government. If this is allowed, then possibly HDFC may not had to bring its stake in Bandhan to 10%, Emkay said.

In the case of invoking pledged shares of a bank, the pledgee’s voting rights will be restricted to 5% till the time the pledgee obtains permission from the RBI for the regularisation of the acquisition of these shares.

The RBI has retained non-operative financial holding company (NOFHC) as the preferred structure for all new licences to be issued for universal b anks, but it will be mandatory only in cases where the individual promoters, promoting entities or converting entities have other group entities, the report said. However, banks currently under NOFHC, such as IDFC First Bank and Bandhan Bank, may be allowed to exit such a structure if they do not have any other group entities in their fold.

The RBI has given in-principle approval to IDFC First Bank-Bandhan Bank, but IDFC will have to first divest stake in its MF/tech businesses for a reverse merger with IDFC First Bank, while Bandhan Bank is not keen on diluting the structure as of now, the report said.

Furthermore, on the relaxation of the listing norms for future small finance banks (SFBs), existing SFBs in queue, including Utkarsh, Fincare, Jana, ESAF, and even the recently-formed Unity SFB, may not get any relief. However, Unity SFB, which is a venture between BharatPe and Centrum, could have different terms, given the potential acquisition of beleaguered PMC Bank.

Small finance banks can now list within eight years from the date of commencement of operations against the earlier condition of within three years of reaching a net worth of Rs 5 billion, and against the demand for 10 years. For universal banks, the listing requirement remains the same, that is after six years of commencement of operations.

Reserve Bank of India (RBI) has refrained from permitting corporate ownership of banks, putting on hold a working group recommendation that said large corporate and industrial houses may be allowed to promote banks post amendments to the Banking Regulations Act, 1949. The central bank has also not accepted a recommendation to allow well-run, large NBFCs, including those owned by a corporate house, to become banks. Both suggestions, it said, on Friday, are “under examination”.

However, RBI has allowed promoters to retain a 26% shareholding in banks, higher than the current cap of 15%, bringing relief to bankers like Kotak Mahindra Bank’s Uday Kotak. The 26% is in line with the ceiling on the voting rights of a shareholder and in keeping with the current FDI policy. The PJ Nayak Committee had in 2014 recommended a promoter holding of 25%, on the grounds that low promoter shareholding could make banks vulnerable by weakening the alignment between the management and shareholders.

Post the five-year lock-in, promoters can choose to lower holdings to below 26%. In the initial five-year lock-in period, the promoter’s stake must be a minimum of 40%.

RBI has simplified the ownership rules for non-promoter shareholders specifying a cap of 15% for all categories of financiaI Institutions, supranational institutions, PSUs and the government. It has retained the cap of 10% on the shareholding of non-promoter shareholders who are natural persons and non-FIs.

Though the preferred structure, an NOFHC (Non-mandatory Non-operative Financial Holding Company) will be mandatory only where the individual promoters, promoting and converting entities have other group entities, provided these promoters and entities are eligible to set up a Universal Bank or a Small Finance Bank (SFB). Banks that currently operate under an NOFHC can dismantle it if they do not have other group entities in their fold.

The initial minimum capital requirements for new bank licences have been raised to `1,000 crore for a universal bank from `500 crore at present and `300 crore for an SFB from `200 crore.

Future SFBs must be listed within ‘six years from the date of reaching the net worth equivalent to the prevalent entry capital requirement prescribed for universal banks’ or ‘10 years from the date of commencement of operations’, whichever is earlier. The internal working group constituted on June 12 last year, under the chairmanship of PK Mohanty, director, central board of RBI, had submitted its report in November 2020.

The Reserve Bank of India has imposed a penalty of Rs 1.95 crore on Standard Chartered Bank – India, for non-compliance with the directions on customer protection, cyber security, credit card operations, among others, the central bank said in a circular.

Customer Protection – Limiting Liability of Customers in Unauthorised Electronic Banking Transactions, Cyber Security Framework in Banks, Credit Card Operations of banks and Creation of a Central Repository of Large Common Exposures – Across Banks – were the norms the bank failed to comply with, according to the RBI.

A Statutory Inspection for Supervisory Evaluation of the bank had been conducted with reference to its financial position as on March 31, 2020, and the examination of the risk assessment report, inspection report and all related correspondence pertaining to the same revealed the non-compliance with the above-mentioned directions to the extent of failure to credit the amount involved in the unauthorised electronic transactions, not reporting cyber security incident within the prescribed time period, authorising direct sales agents to conduct KYC verification, and failure to ensure integrity and quality of data submitted.

Based on this, the RBI had issued an notice to the bank advising it to show cause as to why penalty should not be imposed on it.

After receiving the bank’s replies to the notice, the RBI came to the conclusion that it would charge a fee for the non-compliance.

Customers to face disruption as only 60% banks are auto debit norm ready

With the Reserve Bank of India’s new auto-debit norms coming into effect from Friday, consumers may face some disruption as only about 60 per cent of the banks are ready with a new system.

Industry experts say that most public sector banks are still working to meet the RBI requirement. For example, auto debit on State Bank of India’s debit card will go live only by mid-October while its credit card system is set up to meet the norms starting tomorrow.

Private lenders, including HDFC Bank, ICICI Bank, Citibank, IDFC Bank and Axis Bank, are ready, while others such as IndusInd Bank, Bank of Baroda, RBL Bank and YES Bank are geared to meet the deadline.

Shashank Kumar, CTO and co-founder, Razorpay, said, “In the long run, the RBI norms are good for the ecosystem and will benefit the consumer. But, in the short term, the September 30 deadline can cause a lot of confusion for existing mandates. Where the cards have not migrated to the new system or banks that have not complied, the mandates will not be processed.”

Sounding off customers

Banks and credit card companies have already sent communications to customers informing them about the changes and their state of readiness. Customers of banks, which are yet to comply, will face disruption in payment of utility bills, OTT subscriptions, etc. However, mandates for SIPs, mutual funds and EMIs, set up through bank accounts, will not be affected.

To ensure a smooth transition for customers, the Payments Council of India has requested the RBI to extend the norms for auto debit mandates for recurring transactions by one to two months.

“We have written to the RBI for a short extension of one or two months to ensure a smooth transition to the new norms. All ecosystem players have been working hard but it will take some more time,” said Vishwas Patel, Chairman, Payments Council of India and Executive Director, Infibeam Avenues Limited.

Mandar Agashe, Founder, Vice-Chairman and MD, Sarvatra Technologies, said, “With the new regulations, customers will now be required to re-register each of their payment instruments — be a debit or credit card or UPI for service under the recurring mandate. Post-re-registration, the first transaction will have to be executed via additional factor authentication (AFA) by approving the auto-debit request beforehand. Transactions above ₹5,000, will require OTP verification every time.”

MUMBAI: The Reserve Bank of India (RBI) on Friday said Certificate of Deposit (CD) shall be issued in minimum denomination of Rs 5 lakh and in multiples of Rs 5 lakh thereafter.

CD is a negotiable, unsecured money market instrument issued by a bank as a usance promissory note against funds deposited with it for a maturity period up to one year.

The Master Direction on Reserve Bank of India (Certificate of Deposit) Directions, 2021 further said CDs shall be issued only in dematerialised form and held with a depository registered with the Securities and Exchange Board of India (Sebi).

“CDs may be issued to all persons resident in India,” it said, and added the tenor of the instrument at issuance should not be less than seven days.

Further, banks are not allowed to grant loans against CDs, unless specifically permitted by the Reserve Bank.

As per the RBI, issuing banks are permitted to buy back CDs before maturity, subject to certain conditions.

The central bank had issued draft directions for public comments in December 2020.
