Asserting that Indian banks have been behind the curve in tapping payments technology, Kotak Mahindra Bank Managing Director Uday Kotak on Friday said they need to wake up before large parts of the traditional financial markets move out from them. Indian bankers have been short-sighted on the payments business in the last couple of years as they saw no money in payments, Kotak said at Infinity Forum organised by the International Financial Services Centres Authority (IFSCA) and Bloomberg.

As a result, they have allowed the growth of unified payments interface (UPI) payments monopolised by two players, Google Pay and PhonePe which have got 85 per cent market share, he said.

Therefore, it’s a wake-up call for Indian banking, he said: “Wake up, you will see large parts of the traditional financial markets move out.”

Having said that, he said, “We have to keep in mind that consumer tech companies have revenue models outside of finance. For instance, the advertising model or the e-commerce model. Banks, by law, under Section 6 of the Banking Regulation Act cannot get into non-financial business as defined.”

Therefore, there are serious issues about how you are going to draw the lines and simultaneously, there is an issue about financial stability, he said.

“I was reading an article which said that when you put a regulated entity into competition with a fintech or a consumer tech, the standard approach of the consumer tech is to play fast and loose on regulation and gain market share at great speed.

“I am not against competition. All that I’m saying is we need to make sure that in the name of better competitive service, we don’t have a systemic and a stability challenge at the same time,” he said.

Recalling Prime Minister Narendra Modi’s assertion that the most important aspect of digital growth is consumer trust that has to be protected at all costs.

“So, we need to make sure that as we go for fintech and grow it, we must also be clear that we do not betray trust,” he said.

On the homegrown payments ecosystem, Kotak said UPI payments as well as Aadhaar unique identity basis for transactions are remarkable innovations and they could be exported globally.

Veteran banker Uday Kotak has said that Indian banks have been behind the curve on payments and two players Google Pay and PhonePe have a monopoly with an 85% of the market share.

“Indian banks saw it happen in front of them. It’s a wake-up call for Indian banking. Wake up or you will see large parts of traditional financial markets move out,” said Uday Kotak, MD & CEO of Kotak Mahindra Bank, at a discussion at the Infinity Forum, organised by Bloomberg and IFSCA.

Bankers were shortsighted over the last three years and they let the payments market be taken over by two or three players. Their standard response was there is no money in payments, he said, adding that however, consumer tech have revenue models which are outside finance, for example, advertising or e-commerce models.

“Banks under Section 6 of Banking Regulation Act cannot get into non-financial business as defined. There are serious issues about how we are going to draw the line. Simultaneously there is an issue about financial stability,” he said, adding that in the name of better competitive service there should not be any systemic and stability challenge.

On payment companies raising deposits on the behalf of banks, he said the issue really is who is raising the deposits. “Is it the consumer tech companies, which are the front end and who are going to the customers, marketing the deposits and risking the underlying asset? We need to make sure that as we grow into fintechs, we do not betray trust. The most important aspect is consumer trust that has to be protected at all costs.”

MSME lending

On MSME lending, Kotak said the time has some sort of transformation in MSME lending, particularly the turnaround times.

He said the power of data can give a Msme clarity on loans in minutes if not seconds. MSMEs should be able to get to know if they will get money in a day rather than the few weeks they have to wait now. He said GST is an extremely powerful tool, which needs to be leveraged and democratised. “While you protect privacy you need to make data available with consent and work on that with speed.”

On NRI banking

Stressing the need to bring NRIs and PIOs under UPI, he said NRIs have to go through a lot of friction for opening an operative account in India.

“NRIs should be able to do all their transactions at the offshore centre and we must build that with speed.”

Identifying tech, talent and customer as three key components for the Indian financial system to get into the new age, Kotak said the focus has to be on the customer, with technology being the translation and talent the translator.

“We need to have a sales and service oriented and customer-first approach and all the solutions at the click of a button,” he said.

On Gift City, he said it should be built on the lines of London, Dubai, Singapore. There should be a united approach to regulation and policymaking cutting across all regulators.

Digital-only banks

On digital-only banks, he said the current policy doesn’t stop anyone from setting up digital-only banks. only it needs fit and proper and appropriate people setting up the bank. The time has come for some entrepreneurs to make an application to RBI for a digital-only bank, he said.

He said Kotak Mahindra Bank was excited about the digital space and was focused on creating start-ups within the organisation, a different culture, a squad approach and letting these start-ups have their power of imagination and execution. “We are hiring appropriate talent and giving them the ability to go ahead and experience in the financial world even if there are some risks. What we are not compromising is on security and regulation,” he said.

How Indian banks are leveraging blockchain technology, BFSI News, ET BFSI

In a bid to foster blockchain technology for providing various financial services, banks have put in place Indian Banks’ Blockchain Infrastructure Company Private Limited (IBBIC).

The Reserve Bank of India (RBI) has informed that it has been proactive in providing guidance for development of blockchain-based application through its new regulatory sandbox environment, the government told the Rajya Sabha.

State Bank of India (SBI) and Canara Bank are part of a company called Indian Banks’ Blockchain Infrastructure Company Private Limited for using blockchain technology for providing various financial services. SBI has informed that as a part of IBBIC development, it has initiated steps to incorporate blockchain technology in trade-related transactions,” the government said.

Further, SBI has been onboarded on a blockchain-enabled platform, for exchanging payment-related compliance queries.

Canara Bank has informed that it had formed a small technology innovation team, which is working on identifying the potential use cases best suited to banking operations, he added.

The deployment

Banks are looking to deploy the blockchain technology to solve issues in the processing of Letters of Credit (LCs), GST invoices and e-way bills.

Currently, the process of issuing an LC is relatively slow and requires human intervention to prevent frauds, authenticate transactions, and balance the ledger.

Using blockchain to issue LCs would potentially solve these issues. Even elemental fraud like the issuance of two LCs on a single invoice can be easily prevented with the help of this blockchain technology.

The move is expected to eliminate paperwork, reduce transaction processing time, and offer a secure environment. The system will be based on Infosys’ Finacle Connect, a blockchain-based platform that enables digitisation and automation of trade-related finance processes. Disbursements on domestic LCs, which used to take four to five days, can be done in four hours with the technology. The technology has already been deployed or piloted by the likes of SBI and Axis Bank at an individual level.

Who are the stakeholders of IBBIC?

Out of the 15 banks, eleven are private sector banks while four are public sector ones.

The private banks include HDFC Bank, ICICI Bank, Kotak Mahindra Bank, Axis Bank, IndusInd Bank, Yes Bank, RBL Bank, IDFC Bank, South Indian Bank, and Federal Bank. And, the public sector units encompass Bank of Baroda, SBI, Canara Bank, and Indian Bank.

The incorporation of IBBIC is similar to that of the National Payments Corporation of India (NPCI), which is an umbrella organization that handles critical real-time products like RuPay, UPI, and FASTag.

NCLAT rejects Kotak Bank’s plea to set aside insolvency proceedings against MSEL, BFSI News, ET BFSI

The National Company Law Appellate Tribunal (NCLAT) has dismissed a petition filed by Kotak Mahindra Bank along with a director of debt-ridden McNally Sayaji Engineering Ltd (MSEL) to set aside insolvency proceedings against the manufacturer of mineral processing equipment.

A two-member NCLAT bench upheld the orders of the Kolkata bench of the National Company Law Tribunal (NCLT), which had on February 11, 2021, admitted a plea by ICICI Bank and directed to initiate insolvency proceedings against MSEL.

The NCLT order was challenged by Kotak Mahindra Bank and a director of the suspended board of MSEL before the appellate insolvency tribunal NCLAT.

Kotak Mahindra Bank had contended that besides it, four other banks — ICICI Bank, DBS, IDBI and SBI — had advanced loans to MSEL and NCLT had failed to appreciate that more than 50 per cent members of the lenders’ consortium had opposed initiation of corporate insolvency resolution process (CIRP), as they were considering restructuring of loan outside the IBC.

Restructuring of loans is more beneficial to the creditors as they will not have to take a haircut, Kotak Mahindra Bank had submitted.

In the eventuality of a resolution plan being implemented or liquidation process being initiated, financial creditors, including Kotak Mahindra Bank, will have to take a haircut, it added.

Moreover, the appellant contended that the case was not maintainable as it was filed after the permissible period of three years after the default.

However, ICICI Bank opposed both the petitions.

It said the account of MSEL was classified as NPA on March 31, 2019 and loan recall notice was issued on January 3, 2020 — thus the application was filed within three years from the date of acknowledgement.

ICICI Bank further said Kotak Mahindra Bank’s appeal was not maintainable and filed at the behest of MSEL.

Moreover, Kotak Mahindra Bank has not raised any challenge to the existence of debt, default and completeness of the application filed by ICICI Bank. The CIRP is not adversarial to the interest of the corporate debtor or its creditors, it said.

The Insolvency and Bankruptcy Code (IBC) is a beneficial legislation for equal treatment to the creditors and to revive MSEL, submitted ICICI Bank.

Rejecting the submissions of the appellant, the NCLAT said the Supreme Court has already held that the date on which a bank declares an account of corporate debtor as NPA is the date of default. In the present case, the MSEL acocount was classified as NPA on March 31, 2019.

NCLAT said Kotak Mahindra Bank has no valid ground to challenge the NCLT order and it was “convinced with the argument of Counsel for the Respondent No 1 (ICICI Bank) and hold that the Appellant has no locus standi” to file this appeal.

The appellant has “failed to point out any legal or factual flaw in the impugned order”, it added.

“With the aforesaid discussion, we are of the view that no interference is called for in the impugned order. Thus, the Appeals are dismissed,” said NCLAT.

On Kotak Mahindra Bank’s plea to consider restructuring of debt outside the purview of IBC, the appellate tribunal said NCLT was aware of the proposal but the lenders’ consortium has not filed any application for deferment of the proceedings before it.

“There is no duty cast on the NCLT that no sooner NCLT gets information that outside the purview of IBC any restructuring proposal is under consideration before the consortium of lenders then…(it) should defer the proceedings for initiation of CIRP,” it said.

In the present case, MSEL has committed default and the application is complete, Therefore, NCLT has no option except to admit the plea to initiate the insolvency process, it said.

Indusind Bank’s Hindujas welcome RBI move to up promoter holding to 26%, BFSI News, ET BFSI

The Hindujas, who had earlier applied to RBI seeking to increase their holding in Indusind Bank, on Saturday welcomed the RBI move to allow promoter holding of up to 26 % in private sector lenders. IIHL Mauritius, the Hindujas’ entity which is the promoter of IndusInd Bank, had applied to RBI to increase its holding to 26 % from the previous cap of 15 %, seeking parity after promoters of rival Kotak Mahindra Bank were given the permission to have their holding at 26 % after dragging the RBI to courts.

“We believe this measure of increased promoter holding will be of benefit to all stakeholders: the regulator, the banking institution and its clients, particularly at this time when Indian economy is poised for exponential growth,” Ashok Hinduja, the chairman of IIHL, said.

The RBI on Friday came out with revised guidelines on private sector banks, allowing for 26 % promoter ownership but did not go ahead with an internal working group’s recommendation to allow corporates to promote banks after protests from various quarters including former governors.

Hinduja said IIHL now awaits operational guidelines as it gives the promoters an opportunity to inject capital to increase stake up to 26 %.

The increased promoter holding will lead to enhanced financial strength of the bank and its clients will be protected, he added.
