New Delhi, Dec 1 : The IPO lane will continue to be busy in December as 10 companies have lined up initial share-sale plans worth more than Rs 10,000 crore, merchant banking sources said on Wednesday. Moreover, the initial public offerings of Star Health and Allied Insurance and Tega Industries are currently open for public subscription.

This comes after 10 firms successfully concluded their initial public offerings (IPOs) in November.

Among the companies that scheduled their IPOs in this month include RateGain Travel Technologies, travel and hospitality technology services provider, and Anand Rathi Wealth Ltd, part of Mumbai-based financial services group Anand Rathi.

RateGain’s Rs 1,335-crore initial share-sale will open for public subscription during December 7-9, and the Rs 660-crore IPO of Anand Rathi Wealth will open on December 2.

In addition, the companies that have firmed up their IPO plans are — Global Health Ltd, which operates and manages hospitals under the Medanta brand, pharmacy retail chain MedPlus Health Services and Healthium Medtech, merchant banking sources said.

Apart from these, Metro Brands, Shriram Properties, AGS Transact Technologies, Shri Bajrang Power and Ispat and VLCC Health Care may also float their public issues in the period under review, they added.

Investment bankers said these companies will raise more than Rs 10,000 crore collectively.

The companies are raising funds to support business expansion plans, to retire debt and for general corporate purposes.

Some of the IPOs are an offer for sale (OFS), where private equity players or the promoter wants to cash out part of their holding.

Prateek Singh, founder and CEO of LearnApp.com, attributed the impressive pipeline to the bull run in the equity markets.

“The best time for any company to go for an IPO is during the Bull market, which is also the reason why many companies are going for a public listing at this time. Companies look to tap into the sentiment from the public markets at such opportune times and are highly successful,” he said.

Further, initial share-sales are receiving tremendous applications from the investors and IPOs have been subscribing multifold times.This has pushed companies to raise funds through IPO.

He further said the trend will continue and more tech companies will try to go public in the immediate future until the market calms down and moves downward.

“So, if the markets fall in the future, the IPOs will also reduce,” he added.

So far in 2021, as many as 51 companies have launched their IPOs to raise over Rs 1 lakh crore, according to analysis of data with exchanges.

Apart from these, PowerGrid InvIT, the infrastructure investment trust (InvIT) sponsored by the Power Grid Corporation of India, mopped-up Rs 7,735 crore through its IPO and Brookfield India Real Estate Trust raised Rs 3,800 crore via its initial share-sale.

The fundraising so far this year is way higher than the Rs 26,611 crore collected by 15 companies through initial share-sales in the entire 2020.

Such impressive fundraising through IPOs was last seen in 2017 when firms mobilised Rs 67,147 crore through 36 initial share-sales.

Fino Payments Bank IPO fully subscribed on last day, BFSI News, ET BFSI

The initial public offer of Fino Payments Bank was subscribed 2.03 times on the last day of subscription on Tuesday. The Rs 1,200.3-crore IPO received bids for 2,32,46,150 shares against 1,14,64,664 shares on offer, according to data available with the NSE.

The category for Qualified Institutional Buyers (QIBs) was subscribed 1.65 times, while that for non-institutional investors was subscribed 21 per cent and Retail Individual Investors (RIIs) 5.92 times.

The initial public offer (IPO) had a fresh issue of up to Rs 300 crore and an offer for sale of up to 1,56,02,999 equity shares.

The price range for the offer was at Rs 560-577 per share.

Fino Payments Bank had on Thursday said it has garnered Rs 539 crore from anchor investors.

Proceeds from the fresh issue would be used towards augmenting the bank’s tier-1 capital base to meet its future capital requirements.

Fino Payments Bank or FPBL is a scheduled commercial bank serving the emerging Indian market with its digital-based financial services.

The company is a fully-owned subsidiary of Fino Paytech, a pioneer in technology-enabled financial inclusion solutions.

Fino Paytech is backed by investors like Blackstone, ICICI Group, Bharat Petroleum and International Finance Corporation (IFC).

The initial public offer of Fino Payments Bank Limited was subscribed 87 per cent on the second day of subscription on Monday. The IPO received bids for 99,90,600 shares against 1,14,64,664 shares on offer, according to exchanges data.

The retail individual investors (RIIs) category was subscribed 4.65 times and that of non-institutional investors 10 per cent.

The initial public offer (IPO) comprises a fresh issue of up to Rs 300 crore and an offer for sale of up to 1,56,02,999 equity shares.

The price range for the offer is Rs 560-577 per share.

Radiant Cash Management Services has filed the preliminary papers with markets regulator Sebi for an initial share sale that includes fresh issue of stocks worth up to Rs 60 crore. The Chennai-based company, an integrated cash logistics player with leading presence in retail cash management segment, will mainly utilise the fresh issue proceeds from the initial public offering (IPO) towards funding working capital and capital expenditure requirements.

The IPO comprises fresh issue of shares worth up to Rs 60 crore and an offer for sale (OFS) of 3 crore shares by promoter Col. David Devasahayam and private equity firm Ascent Capital Advisors India, according to the draft red herring prospectus (DRHP).

In 2015, Ascent Capital had acquired 37.2 per cent stake in the company.

Out of the fresh issue proceeds, Rs 20 crore will be used for funding working capital requirements and Rs 23.92 crore for capital expenditure requirements for purchase of specially fabricated armoured vans.

IIFL Securities Limited, Motilal Oswal Investment Advisors Limited and Yes Securities (India) Limited are the book running lead managers to the issue.

At least four companies have filed draft papers for IPOs in the last two weeks. With the stock market witnessing a bull run, many companies are tapping the IPO route to raise funds.

The initial public offer of Aditya Birla Sun Life AMC Limited was fully subscribed on the second day on Thursday. The Rs 2,768.25-crore initial share sale received bids for 2,99,46,460 shares against 2,77,99,200 shares on offer, translating into 1.08 times subscription, according to an update on the NSE.

The qualified institutional buyers (QIBs) category was subscribed 6 per cent, non-institutional investors 40 per cent and retail individual investors (RIIs) two times.

The initial public offer is of 3,88,80,000 equity shares.

The initial share-sale is entirely an offer for sale, wherein two promoters — Aditya Birla Capital and Sun Life (India) AMC Investments — will divest their stake in the asset management firm.

The price range for the offer is Rs 695-712 per share.

Aditya Birla Sun Life AMC on Tuesday said it has collected Rs 789 crore from anchor investors.

Aditya Birla Sun Life AMC Ltd, the investment manager of Aditya Birla Sun Life Mutual Fund, is a joint venture between Aditya Birla Group and Sun Life Financial Inc of Canada.

Asset management firms like Nippon Life India Asset Management, HDFC AMC, and UTI AMC are already listed on the stock exchanges.

As in the U.S., initial public offering activity out of Asia has had its strongest-ever start to a year. That frenzy for new shares is likely to taper off as demand falls back to earth in the next few months.

Asian companies, like their global peers, notched their best first quarter for listings ever, thanks to a flood of liquidity during the pandemic, super-low interest rates, and rallying stock markets. The firms raised $49.3 billion through first-time share sales at home and abroad — a 154% jump over the same period in 2020, data compiled by Bloomberg show.

IPOs globally raised an unprecedented $215 billion, with almost half of that haul coming from the record wave of issuance by special-purpose acquisition companies in the U.S.

Now, a global rotation out of highly-valued tech and health-care stocks that have dominated market activity, as well as fading excitement around SPACs in the U.S., is clouding the outlook for new deals.

“Inevitably, there is a mark to market of comparable valuations,” said William Smiley, co-head of equity capital markets at Goldman Sachs Group Inc. in Asia ex-Japan. “In terms of our pipeline, there hasn’t been any significant impact from the recent rotation, but opportunistic issuance may have decelerated.”

Asia’s IPO space faces an added challenge: the travails of Chinese tech firms, which dominate fundraising in the region. These companies are facing a crackdown against monopolistic practices at home and are also in focus as U.S.-China tensions keep rising. Last month, for instance, the U.S. moved forward with a law that could result in Chinese firms that don’t comply with U.S. auditing standards being kicked off American exchanges.

The red flags are already there, with the investor mania seen earlier this year for deals like the one by Chinese TikTok rival Kuaishou Technology starting to die down.

Chinese fintech company Bairong Inc., which raised $507 million, delivered the worst debut in three years among $500-million-plus Hong Kong IPOs when it fell 16% on Wednesday. U.S.-listed Chinese search giant Baidu Inc. and video-streaming service Bilibili Inc. raised a combined $5.7 billion through secondary listings in Hong Kong in March but had lackluster debuts.

In contrast, investors were seen scrambling for a piece of Kuaishou’s $6.2 billion Hong Kong IPO, the biggest listing globally so far this year, and Korean e-commerce giant Coupang Inc.’s $4.6 billion float.

Healthy Shakeout
That said, muted investor appetite for listings isn’t affecting the queue of hopefuls.

Online music company Tencent Music Entertainment Group, micro-blogging service Weibo Corp. and online travel service Trip.com Group Ltd. are among U.S.-traded Chinese companies seeking so-called “homecoming” listings in Hong Kong. These secondary listings, seen as a hedge against Sino-American tensions, raised $17 billion in Hong Kong last year and have amassed $6.4 billion so far in 2021.

“The secondary listing trend will continue but what should be interesting to see is whether new issuers who ultimately want to get to a dual listing, perhaps consider seeking a dual primary listing in Hong Kong and the U.S. from the start rather than doing a primary U.S. listing, waiting two years and then coming to Hong Kong for the secondary listing” said Francesco Lavatelli, head of equity capital markets for Asia Pacific at JPMorgan Chase & Co.

Tech and health-care firms make up the bulk of the listing pipeline in Asia, say bankers, even without the “homecoming” cohort, many of whom opted for U.S. listings because of the American investor base’s greater familiarity with new economy stocks. Among them: health-care startup WeDoctor, which is planning a multi-billion dollar Hong Kong IPO and China’s Uber-like startup Full Truck Alliance, which is looking into a $1 billion U.S. listing.

“The pipeline remains quite robust but is centered around tech and growth stocks, which are obviously seeing a little bit of a re-rating,” said Tucker Highfield, co-head of equity capital markets for Asia Pacific at Bank of America Corp. “The thesis of good companies being able to buck the trend of volatility will continue and there’s capital available.”

Ultimately, less frothy markets and a cooling of the IPO investor mania may actually be welcome.

“Entering a more balanced market environment isn’t a bad thing. It can extend the issuance cycle and work to keep excesses in check,” Smiley said. “If there is going to be correction, you want it to be fast – a prolonged downturn kills issuance.”

Suryoday SFB raises Rs 150 crore before IPO, BFSI News, ET BFSI

KOLKATA: Suryoday Small Finance Bank has raised Rs 150 crore from SBI Life Insurance Company and Axis Asset Management Company in a pre-IPO placement, valuing the bank at Rs 2,700 crore.

The pre-IPO placement was made at Rs 291.75 a share ahead of its likely initial public share sale that seeks to garner Rs 550-600 crore. The public issue is likely later this month.

The bank may attract 5-10% premium over the pre IPO price, people involved in the process said. Pre-IPO purchases of shares cannot be offloaded for a year.

A pre-IPO placement is a sale of a large chunk of shares ahead of an IPO. Normally, the price of equity shares at the time of public offer comes at a premium over the pre-IPO price.

It is learnt that SBI Life has invested Rs 90 crore while Axis Asset Management Co has put in Rs 60 crore.

Suryoday declined to comment, while SBI Life and Axis AMC did not respond to mails.

Suryoday would be the fourth small finance bank to come out with IPO after AU Small Finance Bank, Equitas Small Finance Bank and Ujjivan Small Finance Bank. Unlike Equitas and Ujjivan, Suryoday has no holding company.

ESAF Small Finance Bank is also preparing for its public offer, which is likely to be in next fiscal, while Utkarsh Small Finance Bank has recently sought market regulator Securities & Exchange Board of India’s approval for public share sale. Reserve Bank of India has mandated small finance banks to get listed within three years of reaching a net worth of Rs 500 crore.

The non-operating holding companies of both Equitas and Ujjivan are also listed.

The market capitalization of Equitas Holdings is Rs 3,093 crore at the end of Tuesday’s trade, while that of Equitas Small Finance Bank is Rs 6,618 crore. Market cap of Ujjivan Financial Services is Rs 2,957 crore while that for the Ujjivan Small Finance Bank is Rs 5,919 crore.

Equitas Small Finance Bank had its loan portfolio at Rs 17,373 crore at the end of December 2020, while Ujjivan Small Finance Bank had it at Rs 13,638 crore.

Suryoday’s gross loan portfolio was Rs 3,711 crore at the end of March 2020 with 76% of it constituting microloans to women borrowers. The bank also has commercial vehicle loans, affordable housing loans and loans to small and medium enterprises in its bouquet of products. It’s net interest margin for FY20 was 11.92%. Suryoday’s loan portfolio grew to around Rs 3,900 crore at the end of December.

The bank’s average collection efficiency, a measure of future asset quality, was at 82% for the month of December while it was lower in three key states — Maharashtra, Tamil Nadu and Odisha. These three states together account for 77% of its lending businesses.

The bank’s IPO includes fresh issue of up to 11.59 million equity shares and an offer for sale of up to 8.4 million equity shares. Existing investors such as International Finance Corporation, Gaja Capital, DWM (International) Mauritius, IDFC First Bank, Kotak Mahindra Life Insurance and Polaris Banyan Holding will be paring their stakes through the offer for sale, according to the draft red herring prospectus.

NEW DELHI: Arohan Financial Services on Monday filed draft red herring prospectus for its initial public offering (IPO). As per market sources, the company plans to raise between Rs 1,750-1,800 crore.

The public offer comprises a fund raise via a fresh issuance of shares amounting to Rs 850 crore. The company will have an Offer for Sale (OFS) of 27,055,893 equity shares by Maj Invest Financial Inclusion Fund II K/S, Michael & Susan Dell Foundation, Tano India Private Equity Fund II, TR Capital III Mauritius and Aavishkaar Goodwell India Microfinance Development Company II Ltd collectively.

The portion reserved for qualified institutional buyers will be up to 50 per cent of the offer, non-institutional investors will have up to 15 per cent of the portion reserved while up to 35 per cent will be reserved for retail investors. The portion reserved for eligible employees will be up to 5 per cent of the offer.

As stated in the DRHP, the company may decide to undertake a pre-IPO placement of Rs 150 crore subject to consultation of the merchant bankers. Net proceeds from the fresh issue will be utilised for augmenting the company’s capital base to meet their future capital requirements which is expected to be deployed in FY22.

As on September 30, 2020, the Kolkata-based company which commenced its operations in 2006, has served approximately 2.21 million borrowers across 17 states and stands as the largest NBFC-MFI in eastern India as per gross loan portfolio. It offers a broad range of products across credit and financial instruments.

Between FY17-FY20, Arohan Financial Services, as per a CRISIL report, had the second highest gross loan portfolio growth at 68 per cent CAGR and stood amongst top five NBFC-MFIs in India. Arohan Financial also had the highest customer growth at 49 per cent CAGR between FY18-FY20. The company’s disbursements, AUM, total comprehensive income has been growing YOY and as on FY20 stood at a CAGR of 110.03 per cent.

The microfinance business of the company operates out of 710 branches across 11 states and the MSME lending business has a reach across eight states through its 10 branches.

Edelweiss Financial Services Ltd, ICICI Securities Ltd, Nomura Financial Advisory and Securities (India) Private Limited and SBI Capital Markets Limited are the book running lead managers (BRLMs) to the issue.
