IIFL Home Finance’s latest unsecured NCD issue is a good opportunity for retail investors to lock into high returns, Nirmal Jain, Founder and Chairman of IIFL Group said on Tuesday.

The housing finance arm of IIFL Group is currently in the market with a ₹1,000 crore public issue of unsecured NCD ( base issue size ₹100 crore and option to retain oversubscription of ₹ 900 crore) that offers a return as high as ten per cent (annual interest option) on an NCD (face value ₹1,000) with tenure of 87 months.

The NCD has been rated Crisil AA/stable by Crisil Ratings and BWR AA+/Negative (Assigned) by Brickwork Ratings India Private Ltd. IIFL Home Finance is a wholly owned subsidiary of IIFL Finance.

“Very rarely will investors get low risk and high returns combined together in a public issue. This is a win-win situation for investors and the company”, Jain said at a virtual press conference on Tuesday to announce the details of the offering.

While retail investors can benefit from higher returns, the company also benefits in terms of Tier-II capital and thereby enable it to grow, he said.

The latest NCD offering , which will be listed on BSE and NSE, opened on Tuesday and closes on July 28.

Although the NCDs are unsecured, Jain believed that they were no different from secured bonds. Even rating agencies don’t see any difference when it came to assessing credit risk for secured and unsecured products, he added. “At the end of the day, the risk that investors take is on the entire company (conglomerate),” he said.

The last time IIFL Home Finance came with an unsecured bond issue was in 2013. That time also the company had offered interest rate higher than prevailing (bank) rates, Jain noted.

Gold in India this week was being sold at a premium for the first time in more than two months as demand gained traction after curbs to combat the second wave of the coronavirus were slightly relaxed.

Retail demand has been recovering slowly as people are making purchases for weddings, said Chanda Venkatesh, managing director of CapsGold, a bullion merchant based in the southern city of Hyderabad.

On Friday, local gold futures were trading around 47,400 rupees per 10 grams after falling to 46,330 rupees on Tuesday, the lowest level since April 9.

Dealers were charging premium of up to $3 an ounce over official domestic prices – inclusive of the 10.75% import and 3% sales levies – this week, compared to last week’s discount of $12.

“There is slight improvement in demand from jewellers as some of them think prices could rise above $1,800 and want to stock up,” said a Mumbai-based bullion dealer with a gold importing bank.

Premiums in top consumer China narrowed to $3-$4 an ounce over global benchmark spot prices, versus $3-$6 last week.

The growth in shipments in April and May from Switzerland was due to the local price trading at a premium rather than an improvement in gold physical demand, Metals Focus said in a weekly note.

China’s net gold imports via Hong Kong more than halved in May from a near three-year high hit in April.

Premiums in Hong Kong were at $1 versus $0.70-$1 an ounce last week. In Singapore, premiums ranged from $1.10 to $1.80 per ounce.

Investors‘ demand for gold has marginally increased since May as they are back in the market buying the dip, seeing current prices as a good opportunity,” said Vincent Tie, sales manager at Singapore dealer, Silver Bullion.

Demand for physical gold in Japan was quiet, with premiums at $0.50 per ounce, traders said.

Northern Arc has launched an alternative investment platform ‘AltiFi.ai’ allowing individual investors to invest in debt instruments.

‘AltiFi, stands for both “Alternative Financial Investments” and “Alternative Fixed Income”.
Investors will get access to debt capital markets and a range of debt instruments across bonds, securitised instruments and alternative investment funds’ units.

DHFL creditors vote against higher distribution of funds to small investors

The Committee of Creditors of Dewan Housing Finance Corporation Ltd (DHFL) has voted against the proposal for redistribution of funds to small deposit holders.

Sources said 89.19 per cent of the votes by financial creditors, including fixed deposit holders, were cast against the proposal. Only 2.96 per cent of votes were in favour of the proposal while 7.85 per cent abstained from voting.

This will mean that the current distribution pattern for DHFL will continue. Fixed deposit holders will get about ₹1,241 crore, that is 23 per cent of their admitted claims of about ₹5,400 crore.

The National Company Law Tribunal (NCLT), in its order on June 7, had suggested 40 per cent recovery to small deposit holders on the lines of that of financial creditors.

The Committee of Creditors had accordingly proposed higher distribution of funds to small investors, including fixed deposit and NCD holders and pension funds.

Admitted claims

According to the proposal put for voting, the entire admitted claims of Army Group Insurance Fund, Air Force Group Insurance Society and Navy Children School would be paid fully in cash.

Further, it was proposed that all fixed deposit holders will be paid additional amounts in cash in order to ensure that the entire amount paid to them is about 40 per cent of the admitted claims, similar to the recovery to secured financial creditors.

Unsecured NCD holders with investments up to ₹10 lakh were proposed to be repaid 40 per cent of the admitted claims like in the case of fixed deposit holders.

Outgo for lenders

The total outgo for lenders of DHFL on these proposals would have been ₹1,853.21 crore. Voting on the proposals took place between June 20 and June 22.

Both FD and NCD holders had previously expressed unhappiness with the revised proposals.

“Almost all NCD holders will be happy that the proposal got rejected. There are two other issues that NCD holders are mainly concerned about. No one can understand the slabs designed for repayment of NCD holders,” said a person familiar with the development.

Fixed deposit holders as well as NCD holder 63 Moons Technologies plan to challenge the NCLT order in the National Company Law Appellate Tribunal. Provident and pension funds are also likely to challenge the order.

“We are filing a petition challenging the order and to get 100 per cent of our funds back,” said Vinay Kumar Mittal, a lead petitioner in the court on behalf of FD holders of DHFL.

Meanwhile, the CoC approved another proposal to authorise State Bank of India, Union Bank of India and Catalyst Trusteeship to act on its behalf for the implementation of the resolution plan.

According to the proposal put forward for voting, the entire admitted claim of ₹39 crore of Army Group Insurance Fund, ₹72.93 crore of Air Force Group Insurance Society and Navy Children School of ₹2.54 crore will be paid fully in cash.

Further, it has also been proposed that all fixed deposit holders will be paid additional amounts in cash in order to ensure that the entire amount paid to them is about 40 per cent of the admitted claims, similar to the recovery to secured financial creditors.

Unsecured NCD holders have been categories based on their investments in four categories: up to ₹2 lakh, between ₹2,00,001 and ₹5 lakh, between ₹5,00,001 and ₹10 lakh, and those above ₹10 lakh.

Investors not happy

The total outgo for lenders of DHFL on these proposals would be ₹1,853.21 crore.

However both NCD holders and fixed deposit investors of DHFL continue to be unhappy with the proposals. NCD holders up to ₹10 lakh believe that their repayment under the new proposal will be lower than before.

BSE, NSE to suspend trading in DHFL shares

The NCLT, while approving the resolution plan for DHFL on June 7, had asked the Committee of Creditors to reconsider the distribution of funds to fixed deposit holders and provident funds within two weeks, noting that they had deposited their hard-earned savings and are now facing difficulties amongst the Covid-19 pandemic and job losses.

Kumbhat Financial to be taken over by 3 investors for ₹9 crore

Kumbhat Financial Services, a Chennai-based non-deposit accepting non-banking finance company (NBFC), will be taken over by investors Sunil Khetpalia, Maneesh Parmar and Ravindran R for a cash consideration of ₹9 crore. The company will make a preferential issue of 90,00,000 equity shares on a private placement basis.

The acquirers of the BSE-listed company have also floated an open offer for 35.75 lakh fully paid-up equity shares representing 26 per cent of Emerging Voting Share Capital of Kumbhat Financial as their collective holding post preferential share allotment is estimated to be over 65 per cent, triggering SEBI’s open offer clause.

According to SEBI’s Substantial Acquisition of Shares and Takeover (SAST) rules, when promoter holding and voting rights in the company crosses 25 per cent, it triggers an open offer.

The company has already filed a draft open offer letter with SEBI and is awaiting approval from the market regulator and the RBI.

Sunil Khetpalia and Maneesh Parmar are engaged in trading, real estate advisory and investments. According to details filed in open offer, Khetpalia and Parmar were directors and shareholders in realty firms such as KLP Projects Private Limited, Aadhi Enterprises Pvt Limited, KLP Townships Private Limited among others.

In a regulatory filing, the company said that the adjourned extra ordinary general meeting held on May 17, it was decided to increase the authorised share capital of the company from ₹10 crore to ₹15 crore, make consequent alteration in the Memorandum of Association (MOA) of the company and approved preferential allotment of 90,00,000 equity shares of ₹10 each.

The stocks of Kumbhat Financial were trading at ₹6.38 a piece on the BSE but trading has been restricted as it was placed under Graded Surveillance Measure (GSM), which is placed on securities that witness an abnormal price rise.

Evolving rules, environmental concerns and competition from central banks threaten to undermine many of the world’s fast-growing crypto assets, crypto and macro experts said, while creating opportunities for those able to adapt.

Europe and the United States are both working on regulating digital assets and their providers – moves welcomed by investors, who hope the new ground rules will encourage institutional investors to plunge in.

Anatoly Crachilov, co-founder and CEO of Nickel Digital Asset Management, which manages assets worth $200 million, told the Reuters Global Markets Forum that regulatory uncertainty was a drag on the development of the crypto space.

He described the promise by the U.S. Securities and Exchange Commission‘s new Chairman Gary Gensler, to provide “guidance and clarity” to the market during his confirmation hearing in March, as a turning point.

For its part the European Commission‘s proposed “Markets in Crypto-assets,” or MiCA regulation, will regulate crypto-assets and their service providers in the European Union.

“It will be a new banking sector, with passporting possibilities,” digital asset trading solutions company H-Finance CEO Vytautas Zabulis said, referring to the prospect of EU-wide cryptocurrency trading licences.

Alongside the evolving regulatory framework, some countries, including China, Britain and Russia, are considering launching their own central bank digital currencies (CBDCs).

That is likely to be followed by legislation to tax gains, said Robert Carnell, chief economist and head of research at ING Asia. “That may be the death knell for these other cryptocurrencies, though central bank coins are on the up and up,” he said.

Zabulis said that if CBDCs were developed in a way that they were “easy to interact with,” most digital currencies used for settlements will likely lose their both their goal and value.

There was not a big argument for bitcoin becoming a settlement tool, Zabulis cautioned. “Blockchain technology is for that, so, CBDCs will be built on blockchain.”

Bitcoin BTC=BTSP traded around $54,000 following a 10% surge on Monday, driven by reports that JPMorgan Chase JPM.N is planning to offer a managed bitcoin fund.

CBDCs are expected to have a limited impact on Bitcoin in particular, due to its progressively limited supply, which is in contrast to traditional fiat systems, Crachilov said.

“No central bank currency, however digital, can offer scarcity at this stage, as its supply can be inflated by a respective central bank issuing entity,” Crachilov said.

If China saw bitcoin as a threat to its own planned digital currency, that could affect the whole industry, Zabulis said.

GREEN REVOLUTION?
Creating crypto assets leaves a heavy carbon footprint, and is being increasingly seen as environmentally unsustainable.

ING Asia’s Carnell said there was “a strong argument on environmental grounds for limiting crypto mining, or at least having them offset their wasteful practices.”

However, bitcoin enthusiast Raoul Pal said he was not worried about the “unsustainability narrative”.

Pal, founder and CEO of on-demand financial TV channel Real Vision, said he believed it would drive a “green revolution” because in the end that was “the only way to win”.

Nickel Digital’s Crachilov said his fund was seeing a higher demand for ESG-compliant cryptos. “The price competition drives miners towards the cheapest sources of energy — renewables are increasingly falling into this category,” he said.

Ethereum 2 will use “proof of stake versus proof of work,” H-Finance’s Zabulis said. “It means that it will drastically reduce the energy needed” to mine it.

Garrett Minks, chief technology officer at Delaware-based RAIR Technologies, said the idea is to “trade brute force electricity burning with fancier math”.

Optimistic about the outlook for the life insurance industry, NS Kannan, Managing Director and CEO, ICICI Prudential Life Insurance, said as of now Covid-related claims for the sector are under control. In an interview with BusinessLine, he said while there continues to be demand for protection and health products, underwriting norms have become stricter for retail protection. Excerpts:

What is your outlook for the life insurance sector?

Amidst the pandemic, life insurance sector ended in the growth path. I expect the industry will see double-digit growth. We will have to watch how the pandemic develops but we will get back in line with nominal GDP growth of about 15 per cent.

Is the surge in Covid 19 infections a cause for concern for the sector?

Our industry’s claims will be linked to overall mortality of the insured population, which is very much under check. I don’t think it will be a big concern for the industry. We have increased the provision by another ₹33 crore in case some deaths have not been reported to us. Also, given the emergence of the second wave, we decided to be prudent and create a provision of another ₹299 crore. So, as of today, we are carrying a provision of ₹332 crore.

How many Covid-related claims has the company paid?

We have reported 2,500 lives we had claims on in terms of number of deaths in our portfolio. Net of reinsurance, we had to pay out about ₹264 crore as claims.

What kind of products do you think there will be more demand for?

There has been a lot of demand for protection products and also health insurance products we are allowed to do. There is also momentum in group term insurance. The only caveat is that we are not able to entirely fulfil the entire demand. Given the pandemic one has to be careful about underwriting. Also, for large insurance, we need the support of reinsurers and they are also focussed on proper underwriting. Underwriting standards have become tougher. There is also still a bit of friction in terms of medical examination, which is needed for higher value insurance. This has slowed down the process of issuance. Demand is up but in retail protection there are some supply-side constraints.

ICICI Pru MF launches new fund of funds

Credit life, which is the second segment of protection, had got impacted in the first half but has come back in the second half because banks and NBFCs have started disbursements for retail home loans and other loans. Group term has been a huge opportunity and we had about 100 per cent growth in the segment.

Has there been an impact of the Budget proposal on ULIPs?

As an industry, we have moved away from tax-based selling to goal-based selling. Second, ULIP is a powerful product, allowing customers to take advantage of market movements in a transparent and tax-effective manner. Even in the new regime, customers can invest up to ₹2.5 lakh without tax implications. The new regime was in place from February 1 and there were two full months of this impact. But in our case, ULIP segment has grown 11 per cent year-on-year in the fourth quarter. Empirical evidence of the two months indicates there is no impact at all. As long as long-term investments are on the same platform across mutual funds and insurance, there is nothing to worry.

What is your strategy, going ahead?

Despite the pandemic, we are not changing our strategy to double our value of new business to about ₹2,650 crore by 2023. We will continue to pursue it through the 4Ps of premium growth, protection business growth, persistency improvement and productivity enhancement. Our focus will be on top-line growth. In the fourth quarter, we are firmly back on the growth back and that gives us confidence. We have about 600 new partners and we added seven significant banks last year. On the product side, we have a much diversified product mix. So all this gives us a lot of confidence that we can pursue top-line growth and expand the VNB.

Term insurance rates have been increased by some insurers. Will there be more repricing with the second wave?

The increase in term insurance rates was driven largely by reinsurers increasing the pricing. To the extent of reinsurance pricing, we passed it on in the month of July (last year). We don’t have any proposal to further increase pricing.

We don’t know how the second wave will emerge. We have to wait and see. World over, I don’t think the conclusion has emerged so strongly regarding the lingering or long-term mortality impact of the pandemic.

How do you view the increased FDI limit for the sector?

We wholeheartedly welcome the move as a company and industry. Recently, the draft rules were gazetted, which are reasonable and easy conditions to comply with. Insurance penetration is very low and it being a regulated business there will always be strict capital requirements for the industry and so foreign capital is always welcome. For us, it is a shareholder issue and not a company issue. As an insurance company, we don’t require any capital. We are quite well-capitalised with 217 per cent solvency ratio. We have also increased about ₹1,200 crore of Tier 2 capital.

FT’s six suspended debt plans got ₹1,536 cr in April 1st fortnight

The six suspended debt schemes of Franklin Templeton have received ₹1,536 crore from maturities, coupons, sale and prepayments in the fortnight ended April 15.

The Supreme Court appointed liquidator SBI Funds Management had completed distribution of ₹2,962 crore to unit holders last week.

With this, investors in the debt schemes have received ₹12,084 crore in two tranche since it was suspended for trading last April.

The six schemes now have ₹447 crore as on April 15.

In all, the six schemes had received ₹17,312 crore till April 15 from maturities, coupons, sale and pre-payments since winding up.

The fund house had repaid the entire debt raised by the schemes to meet redemption pressure amid Covid pandemic breakout last April.

The NAVs of all the six schemes were higher compared to that of last April 23 when the decision to wind-up was taken.

As per the Supreme Court order, SBI Funds Management has started selling off the assets held in the schemes and returning the money to investors at the earliest, said the fund house.

Jana Small Finance Bank files DRHP for IPO after missing deadline, BFSI News, ET BFSI

Kolkata: TPG-backed Jana Small Finance Bank has on Thursday filed its draft red herring prospectus with Securities & Exchange Board of India for an initial public offer, almost a week after missing the listing deadline.

Jana was supposed to be listed on or before March 27, 2021, according to the licensing agreement with Reserve Bank of India.

The bank had applied to the RBI for an extension till March 28, 2022 but the regulator turn it down.

“The RBI may take regulatory action against us, which could include imposition of monetary penalties, revocation of the RBI final approval or such other penal actions”, if it fails to make satisfactory progress towards the listing of equity shares or do not comply with the provisions of the extant RBI guidelines, the bank said in its prospectus.

The regulator has mandated small finance banks to get listed within three years from the date of commencement of our banking business or withing three from reaching a net worth of Rs 500 crore.

Jana received the banking license in 2015 along with nine other financial services firms.

The bank would be looking to raise up to Rs 700 crore through the proposed share sale. The bank may also consider a pre-IPO placement for raising up to Rs 500 crore, the bank said in the prospectus.

The IPO would include an offer for sale of up to 9,253,659 equity shares.

Bajaj Allianz Life Insurance Company, ICICI Prudential Life Insurance, Enam Securities and Hero Ventures will be looking to partly offload their holdings in Jana Small Finance Bank when the bank will float the IPO.

Some 18 existing investors would be looking to sell their holding, the bank said. The selling shareholders includes Gawa Capital, Client Rosehill Ltd, Tree Line Investment Management, North Haven Private Equity Asia Platinum Pte Ltd, QRG Enterprises and Bajaj Allianz General Insurance Company.

North Haven is the biggest shareholder with 8.18% holding who will be looking to sell shares while all the other selling shareholders hold less than 5%.

Promoters hold 42% in the bank while investment firm TPG holds 9.44%. Other investors include HarbourVest, Morgan Stanley and Tata Capital.

The bank’s genesis dates back to 2006 when it was founded as Janalakshmi Financial Services by former Citibank executive Ramesh Ramanathan, who is now non-executive chairman.
