Reserve Bank initiates insolvency proceedings against Reliance Capital

The Reserve Bank of India on Thursday filed an application for initiating insolvency proceedings against Reliance Capital at the Mumbai Bench of the National Company Law Tribunal.

“The Reserve Bank has today (December 2, 2021) filed an application for initiation of CIRP against Reliance Capital Ltd, under Section 227 read with clause (zk) of sub-section (2) of Section 239 of the Insolvency and Bankruptcy Code (IBC), 2016 read with Rules 5 and 6 of the Insolvency and Bankruptcy (Insolvency and Liquidation Proceedings of Financial Service Providers and Application to Adjudication Authority) Rules, 2019 (“FSP Insolvency Rules”) at the Mumbai Bench of the National Company Law Tribunal,” the RBI said.

An interim moratorium shall commence on and from the date of filing of the application till its admission or rejection, it further said.

The action comes after the RBI superseded the board of Reliance Capital on November 29 and appointed Nageswara Rao Y, ex-Executive Director, Bank of Maharashtra, as the administrator of the company.

It has also constituted a three-member Advisory Committee to assist the Administrator on November 30.

Reliance Capital scrip fell by nearly five percent to close at ₹16.35 apiece on BSE.

This in the third NBFC against which the RBI has initiated insolvency proceedings, with the first being Dewan Housing Finance Corporation Ltd and the second being Srei Ifra Finance and Srei Equipment Finance.

The National Company Law Appellate Tribunal (NCLAT) has dismissed a petition filed by Kotak Mahindra Bank along with a director of debt-ridden McNally Sayaji Engineering Ltd (MSEL) to set aside insolvency proceedings against the manufacturer of mineral processing equipment.

A two-member NCLAT bench upheld the orders of the Kolkata bench of the National Company Law Tribunal (NCLT), which had on February 11, 2021, admitted a plea by ICICI Bank and directed to initiate insolvency proceedings against MSEL.

The NCLT order was challenged by Kotak Mahindra Bank and a director of the suspended board of MSEL before the appellate insolvency tribunal NCLAT.

Kotak Mahindra Bank had contended that besides it, four other banks — ICICI Bank, DBS, IDBI and SBI — had advanced loans to MSEL and NCLT had failed to appreciate that more than 50 per cent members of the lenders’ consortium had opposed initiation of corporate insolvency resolution process (CIRP), as they were considering restructuring of loan outside the IBC.

Restructuring of loans is more beneficial to the creditors as they will not have to take a haircut, Kotak Mahindra Bank had submitted.

In the eventuality of a resolution plan being implemented or liquidation process being initiated, financial creditors, including Kotak Mahindra Bank, will have to take a haircut, it added.

Moreover, the appellant contended that the case was not maintainable as it was filed after the permissible period of three years after the default.

However, ICICI Bank opposed both the petitions.

It said the account of MSEL was classified as NPA on March 31, 2019 and loan recall notice was issued on January 3, 2020 — thus the application was filed within three years from the date of acknowledgement.

ICICI Bank further said Kotak Mahindra Bank’s appeal was not maintainable and filed at the behest of MSEL.

Moreover, Kotak Mahindra Bank has not raised any challenge to the existence of debt, default and completeness of the application filed by ICICI Bank. The CIRP is not adversarial to the interest of the corporate debtor or its creditors, it said.

The Insolvency and Bankruptcy Code (IBC) is a beneficial legislation for equal treatment to the creditors and to revive MSEL, submitted ICICI Bank.

Rejecting the submissions of the appellant, the NCLAT said the Supreme Court has already held that the date on which a bank declares an account of corporate debtor as NPA is the date of default. In the present case, the MSEL acocount was classified as NPA on March 31, 2019.

NCLAT said Kotak Mahindra Bank has no valid ground to challenge the NCLT order and it was “convinced with the argument of Counsel for the Respondent No 1 (ICICI Bank) and hold that the Appellant has no locus standi” to file this appeal.

The appellant has “failed to point out any legal or factual flaw in the impugned order”, it added.

“With the aforesaid discussion, we are of the view that no interference is called for in the impugned order. Thus, the Appeals are dismissed,” said NCLAT.

On Kotak Mahindra Bank’s plea to consider restructuring of debt outside the purview of IBC, the appellate tribunal said NCLT was aware of the proposal but the lenders’ consortium has not filed any application for deferment of the proceedings before it.

“There is no duty cast on the NCLT that no sooner NCLT gets information that outside the purview of IBC any restructuring proposal is under consideration before the consortium of lenders then…(it) should defer the proceedings for initiation of CIRP,” it said.

In the present case, MSEL has committed default and the application is complete, Therefore, NCLT has no option except to admit the plea to initiate the insolvency process, it said.

No objection certificate from IT dept not required for voluntary liquidation: IBBI

Insolvency regulator IBBI has clarified that an Insolvency Professional (IP) handling voluntary liquidation process will not be required to seek any No Objection Certificate (NOC) or No Due Certificate from the Income Tax department for compliance with any such process.

Th position was laid down in a circular by the Insolvency and Bankruptcy Board of India (IBBI) which held that the process of applying such NOC/NDC from the IT Department is time-consuming and defeats the objective of time-bound completion of process under the Insolvency and Bankruptcy Code (IBC), the IBBI said.

Currently, the voluntary liquidation regulations mandates the liquidator to make the public announcement within five days office appointment, calling for submission of claims by stakeholders within 30 days from the liquidation commencement date. The regulations also obligate all the financial creditors, operational creditors including government and other stakeholders to submit their claims within the specified period. If the claims are not submitted in time, the corporate person may get dissolved without dealing with such claims and such claims may consequently get extinguished.

It has been noticed that even after providing an opportunity for filing of claims, the liquidators seek NOC/NDC from the income tax department despite the fact that the code or the regulations do not envisage seeking such NOC/NDCs.

Experts’ take

Yogendra Aldak, Partner, Lakshimkumaran and Sridharan Attorneys, said “It brings necessary assurance to the stakeholders and makes sure that the stakeholders are not required to comply with a procedure not contemplated under the Code.”

Veena Sivaramakrishnan, Partner, Shardul Amarchand Mangaldas and Co, said “ Negating the practice of seeking a NOC/NDC from the IT department would operationally ease the process of voluntary liquidation. The liquidators can strike off this requirement from their checklist of obligations.”

Maneet Pal Singh, Partner, I.P. Pasricha & Co, said that in recent times we have seen that the objective of time-bound completion of liquidation process gets defeated primary due to the process of obtaining NOC from the Income Tax Department by the Insolvency Professional since that consumes substantial amount of time against the express provisions of the Insolvency and Bankruptcy Code, 2016.

“In order to tackle the same, the IBBI clarified that an Insolvency Professional handling voluntary liquidation process is not required to seek any NOC from the Income Tax Department and with this we believe that the process will be handled smoothly in a time bound manner”, Singh said.

“In hindsight, the biggest mistake we made was that we did not go to the bankers before going to the Court (National Company Law Tribunal/NCLT),” said Hemant Kanoria, former promoter of the Kolkata-based SREI Group. Kanoria was referring to an application filed last year by Srei Equipment Finance Limited (SEFL), a material wholly-owned subsidiary of Srei Infrastructure Finance Ltd (SIFL), for approval of a proposed Scheme of Arrangement with the creditors and SEFL for re-alignment of debts under Section 230(1) of the Companies Act, 2013. However, the Reserve Bank of India (RBI) superseded the Board of Directors of SIFL and SEFL on October 4, 2021, owing to governance concerns and defaults by these companies in meeting their various payment obligations and placed them under an Administrator (Rajneesh Sharma, Ex- Chief General Manager, Bank of Baroda). NCLT, Kolkata, accepted the central bank’s application on October 8, 2021, to initiate corporate insolvency resolution process (CIRP) against the aforementioned companies. In an interaction with BusinessLine, Kanoria observed that he will weigh, as erstwhile founder of the infrastructure finance company, if he can participate in the CIRP. He emphasised that SEFL had earlier received expression of interest from 11 investors and many of them would be interested to come back and make investment via CIRP. Excerpts:

Will you be able get back your company?

If we see someone (investor) coming and giving a very good value for the company and all the creditors are able to get their full payment, we’ll be very happy. But if people are trying to take the company for a ride and give a lower bid, we may have to come in and intervene…we are quite sure there are sufficient securities/ assets, arbitration awards, which may take a little time (to realise)…Unfortunately the infrastructure sector has been very badly impacted, because everything was derailed, and to bring things back on the rails takes time.

How did your group get into a spot?

Last year, when Covid happened and when the lockdowns began, most of our clients — construction companies and contractors, along with infrastructure companies, started facing problems. Their work came to a standstill. They were not able to get their money because government offices were closed. There were claims cases, which were in the courts, and all that came to a standstill. So, the whole cycle stopped.

RBI subsequently come out with guidelines for extending moratorium to our clients and offering them refinancing/ restructuring. That was a good move. If it had not been done, all of them would have defaulted. But, at the same time, this (moratorium) was not extended to NBFCs (who had taken loans from banks) because for the consumer-lending NBFCs it was not required as their average tenure of lending was short.

Given that we are an IFC, all of our lending was medium to long-term. Unfortunately, we being the only company in this particular (infrastructure) sector, the RBI could not have had a special dispensation/ guidelines for us.

Why did your attempt to realign debt fail?

Until and unless there was stress, we could not go in for a realignment of the debt. And that time there was no loan outstanding. So, the only alternative for us to deal with the loans from banks was to do a debt realignment under Section 230 of the Companies Act as that allowed us to do realignment in consultation with the creditors and with their consent.

We moved under Section 230 last year in October for making full payment along with interest to all the banks…and we said that the entire loan be converted into debentures and the whole payment can be made over a period of certain time along with interest.

And if this scheme was not acceptable to the bankers, they could have revised it. Unfortunately, the bankers did not like that we went to court because they thought going to the court was fighting against them. But actually it was not fighting. It was only facilitating so that repayments can take place in a structured manner and the company could continue in the proper manner without disruption being caused to the company due to either mismatch on the asset liability side or in any other matter.

And also our clients were not in a position to pay back timely because all their money was stuck up.

Were bankers uncomfortable with the idea of conversion of loans into debentures?

Anticipating all the aforementioned developments, we moved NCLT in October 2020. But in November, the bankers put a restraint on the operations of the company and also created a trust and retention account where all the cash flows were captured by them. In December last year, we had to move all the other creditors (secured debenture holders, unsecured debenture holders, secured ECB lenders, unsecured ECB lenders, PDI holders and individual debenture holders of SEFL) also for a realignment of the debt. However, at no particular time we had offered any haircut to the bankers. At no particular time we had asked for any sacrifice on the interest etc, it was full payment, because we were sure that we will be in a position to pay all the creditors in a structured, orderly fashion. And that was the reason why we moved the court and there was no other intention. But we found that this pre-emptive move was not taken very well by the bankers or by RBI.

The RBI flagged connected lending. What do you have to say on this?

The RBI raised certain issues about connected parties or related parties (lending) etc. It identified certain parties, being borrowers of SEFL, as probable connected/related companies. But there is a process which the company follows. We have a very strong board of directors and all the decisions are taken through committees etc. So, therefore, when any borrower is brought in by the team members, the appraisal is done on the basis of the project, cash flows, security, which the borrower offers, and after that, in the event that that particular borrower falls under related party or connected entity then there is a process again, which is followed through the compliance, legal and the Secretarial department to see whether it falls under related party or connected party under the Companies Act and Ind-AS. And if it does, then it is adequately reported to the audit committee of the board. If it does not, then it is not reported to the audit committee of the board. We have inspections going on by RBI, we have various other internal audits, statutory audit which keeps going on and this is not something which is new.

So, all of a sudden.. the RBI took exception to it…Borrowers which are there will be classified under the connected party…I’m only talking about the connected entities. But most of them are companies which are under the Alternative Investment Fund. Srei Infra has an investment in that AIF. They are only managers and this is third party money.

So, therefore, just to give you an example, suppose a Bank’s mutual fund arm has invested in the debt paper of an automobile company. The MF is only a manager, investing third party money in the debt paper. Now, if the bank gives a loan to this automobile company, will the company become a connected party for the bank? Under no stretch of imagination does it becomes a connected party. So, similarly, in the case of AIF and SREI that is the relationship which is there.

Because the RBI mentioned that these are probable connected parties, they were adequately reflected in the balance sheet of March 31…There is no distinction in the process which is being followed for any loan the company gives. All the borrowers assets are seen, securities are seen, cash flows are seen and proper evaluation is done. So, there has been no dilution in the processes which have been followed.

Why did you opt for debt realignment under Section 230 of the Companies Act?

We went under Section 230 so that the company does not end up being in default. Because we have so many lenders, both domestic and international, and bond holders (almost about 70,000-80,000 bond holders), going to everyone independently would have taken a lot of time and would have resulted in the company getting into a big problem.

But in hindsight, I think that the biggest mistake we made was that we did not go to the bankers before going to the court. We should have first gone to them, discussed with them, and then gone to the court… We thought if we go through the court route, we will be able to deal with many creditors on one platform and the scheme that we had given was very, very fair. There was no haircut to anyone at all. But by taking the company through CIRP, we do not know what the result will be. From our end, that is the reason we have reached out to the Administrator, the RBI and the creditors that whatever support or help that is required, we are very happy to provide that because we want the institution to get back on its feet as soon as possible. So that is our only intent — to see that all the creditors are paid off because there are sufficient assets in the company, there are claims (court), there are assets/ securities. So, that someone needs to very intensely follow up to find out solutions.

We have investors who are quite keen to come in and…about 11 Expression of Interest had already come in. Many of them would be interested to come back (via CIRP) and make investments.

An internal study by the central bank has revealed that borrower delinquency reduced after the RBI’s February 12, 2018 circular requiring banks to initiate insolvency within six months of default but deteriorated after the circular was struck down by the Supreme Court in April 2019.

The study was highlighted in an article by RBI executive director Saurav Sinha, which is part of an e-book published by the Insolvency and Bankruptcy Board of India. The article said that insolvency should not be the last resort, comparing a stressed asset to an ice cube with any delay in resolution melting away value. The article has said that a disquieting aspect for the RBI is the time taken for commencement of resolution from the time of filing application. In the article ‘IBC — A banking regulator’s perspective’, Sinha has pointed out that the study showed that notification of IBC alone did not result in any material change in behaviour of borrowers.

The article notes that the most positive impact on the credit culture was by the erstwhile February 12 circular, which resulted in increases in curing of defaults. The upgrades in the SMA-1 (special mention accounts or loans that are in default but not yet NPAs) improved to 18.6% from 5.8% before the circular.

Interestingly, the upgrades came down significantly after the Supreme Court declared that the erstwhile February 12 circular was ultra vires to the Banking Regulation Act, 1949 even though it recovered after the RBI issued rules incentivising early initiation of IBC.

Sinha has said that for the impact of IBC to be felt, the RBI needs to leverage the bankruptcy code in its resolution framework. While some commentators see bankruptcy as an extreme step, the article has said this is not the case.

“It is a disconcerting notion that IBC is seen as a last resort of resolution by many stakeholders including various banks — something that has to be thought about only after all other avenues have been extinguished. The RBI believes in the well-used analogy of a stressed borrower being similar to an ice cube taken out of the refrigerator — the longer it remains unprotected, the more ice melts into water and is lost,” the article said.

The article concludes with the expectation that the recently-introduced pre-packaged insolvency resolution process for small business is extended to all borrowers and is used in difficult resolution involving non-cooperative lenders.

As the Indian Bankruptcy Code (IBC), one of the crucial reforms that gives India Inc the ‘right to exit’ and start afresh, completed five years, ETCFO spoke with Jayant Sinha, former union minister and Chairman of the parliamentary standing committee on finance, to know if liquidation is a scam under IBC? And more.

“Liquidation should not be a benchmark. And that is why we have to think carefully about what should be the benchmarks and a resolution process particularly for secured financial creditors,” said Jayant Sinha.

Almost half of the closed cases by lenders under IBC in FY21 ended in liquidation, as per the Insolvency and Bankruptcy Board of India (IBBI), while only 13 per cent were resolved. In most of the cases under IBC, by the time they are resolved, their asset value depreciates leading to 90% haircuts, according to IBBI

Specifically from the secured creditors perspective, when they lend against collateral they expect 100 per cent value back instead of “salvage or the liquidation value”.

“If that was to be the case, the kind of loans a company would be able to get would be very modest, because everybody’s just lending against liquidation value. We can’t have that,” Sinha said, underscoring the importance of having benchmarks.

Liquidation can’t be a benchmark under Insolvency and Bankruptcy Code: Jayant SinhaThese benchmarks are for secured financial creditors as there should be a very high level of confidence that they’re going to get the vast part of their loan back, he said.

But the question is how to decide the benchmark?

Sinha points to global benchmarks, the major economies that we compete with like Germany, Japan, China, the US, the UK. What secured financial creditors typically get through the resolution process should be the benchmark, he said.

Benchmark the quantum of haircut

In one of the recommendations, the parliamentary standing committee in its report titled, ‘Implementation of Insolvency and Bankruptcy Code: Pitfalls and Solutions’ was to benchmark the quantum of haircuts to avoid a 90 per cent haircut situation.

As per IBBI, in the resolved cases, the haircut, or the loss to banks on their claims, rose to 60 per cent in FY 2021, from 55 per cent average in the previous years. While in the March 2021 quarter alone, haircuts rose to a whopping 74 per cent of the claims made by the lenders against the defaulters.

While it is a matter of concern, how will benchmarking haircuts work?

Benchmarking haircut is not a prescription. It’s not a number that you have to meet. But it is something that should guide the committee of creditors in terms of how and how quickly they should go through the resolution process..

He believes that the system needs to gear up to deliver better outcomes. He feels there are many reasons why 40% recovery is happening. He ascribed these low recoveries to companies close to liquidation coming to IBC, processes that dragged on for a long time eventually eroding the value of the assets, apart from other reasons.

“Going forward, 40% cannot be the benchmark. It is not good enough. Whereas 5% is not good enough either. We need to do better for secured financial creditors. And the changes that we are suggesting are in support of all of that,” he said.

Role of NCLT

As far as delays in the process are concerned, one aspect is counter litigation by promoters. This costs money and time to the whole system. How should IBC deal with such issues, especially when NCLT is facing the challenge of capacity?

Sinha suggested three steps to reduce litigation.

Firstly, fill the vacancies at NCLT as quickly as possible because then there is more time to adjudicate a case well and come up with a good resolution.

If judges don’t have enough time and rush through cases, they won’t give good judgments, and then things will end up in litigation. Therefore, adding capacity as soon as possible is one way in which we can deal with these endless litigation type issues.

The parliamentary committee has recommended that the NCLT should at least have high court judges so that we can benefit from their experience and their wisdom. That’s another way to prevent litigation.

The third way of preventing litigation is to ensure when people submit the resolution plan as per the deadline, they do not have an opportunity to come in with another resolution plan after that. Because not doing so, will again rest in litigation, and a lot of contentions back and forth.

“So these are three very concrete steps that we have suggested to reduce litigation as it is one of the reasons a lot of these timelines are being extended,” he said.

IPs to face penalty for non-compliances

Insolvency regulator IBBI has come up with a novel step to ensure Insolvency Professionals ( IPs) better discharge their duties and at the same time help distinguish the performers and non-performers amongst them. It has come up with a graduated system of levy of monetary penalty for minor non-compliances by the IPs.

For this purpose, the Insolvency & Bankruptcy Board of India (IBBI) has now directed the three Insolvency Professional Agencies (IPAs) to amend their bye-laws so as to provide maximum and minimum monetary penalty for certain non-compliances by IPs registered with such agencies.

Till date, there are three IPAs registered with the IBBI. These are ICSI Institute of Insolvency Professionals, Indian Institute of Insolvency Professionals of ICAI and Insolvency Professional Agency of Institute of Cost Accountants of India.

Monetary penalty

The IPAs have now been directed to provide for the maximum and minimum monetary penalty in the interest of objectivity and uniformity. The penalty will be imposed where the Disciplinary Committee of the IPAs decides to impose such penalty on its professional members.

As many as 14 contraventions have now been listed out by the IBBI in a circular along with the minimum and maximum penalty that can be imposed.

The contraventions include failure to submit disclosures, returns etc. to IPAs or incorrect disclosures, returns relating to any assignment as required under IBC (penalty of upto ₹1 lakh or 25 per cent of fee, whichever is higher, subject to a minimum of ₹50,000); accepting an assignment having conflict of interest with stakeholders (upto ₹ 2 lakh or 25 per cent of fee, whichever is higher, subject to a minimum of ₹1 lakh), etc.

Experts’ views

Ashok Haldia , Chairman of Indian Institute of Insolvency Professionals of ICAI, said “Prescription of a graduated system of monetary penalty for minor non compliances is welcome as it would bring in objectivity and uniformity in dealing with cases within an IPA and across all the IPA. It differentiates between non compliances and violations.”

Abhishek Saxena, Co-founding Partner, Phoenix Legal, said this marks a welcome step to ensure better diligence and integrity in the system.

Nakul Sachdeva, Partner, L&L Partners, said “The circular would lead consistency in the quantum of penalty imposed”.

Why FD investors get the short end of the stick under waterfall mechanism

Shivram, an FD investor in Dewan Housing Finance Limited (DHFL) talks to his chartered accountant cousin Janaki to understand the waterfall mechanism.

Shivram: Sorry to bore you with this when you’ve come for a fun visit Janu. I had DHFL fixed deposits when it went bust in 2019. I was happy to read somewhere that the Piramal group is going to take it over under IBC. I saw a resolution plan where FD holders will get back their money. But now I see the whole thing is going to drag on more, because creditors aren’t happy.

Janaki: Many of my clients hold not just FDs but also secured NCDs in DHFL.

Shivram: See, what irritates me is that these big lenders like banks and insurance companies are blocking FD holders from getting more money. They just voted out a proposal to give FD holders an additional ₹966 crore, over the ₹1241 crore proposed in the original plan. That would have meant my getting back over 40 per cent of the money, instead of 23 per cent. I’m already taking a 60 per cent ‘haircut’. Why can’t small investors get entire money back? Only big guys can afford costly haircuts!

Janaki: I see that you aren’t aware of the waterfall mechanism. When a company goes broke and has less assets than liabilities, this mechanism decides which lenders get priority over others.

Shivram: The only waterfall I know is in Kutralam! So Janu, tell me, why is this waterfall giving me a haircut?

Janaki: Haha, you see, haircuts and waterfalls come into play in the DHFL case because the Piramal group which is acquiring it is willing to pay only ₹37,250 crore for it. But DHFL has outstanding dues totalling to over ₹90,000 crore. So, lenders have to take haircuts.

Shivram: But how do they decide that pensioners like me take an 80 per cent haircut?

Janaki: That’s what the waterfall mechanism does. Imagine a mini-waterfall, not Kutralam, where the water pours down from a height and there are buckets placed below it at different levels. Water flows into the second bucket only when the first one overflows. The third bucket gets filled after the second. If there isn’t enough, the bottom buckets get only a trickle. Similarly, waterfall mechanism in debt resolution decides which creditors of a company are the top buckets when there isn’t enough money.

Shivram: Why does this waterfall mean FD holders get only 23 per cent of their money?

Janaki: Because FDs in a company/NBFC are unsecured borrowings. The IBC’s waterfall mechanism gives clear priority. With any money that comes in, the resolution costs are met first and any accumulated dues to workmen are paid off. Secured creditors get top priority. Salary dues to employees come after them and unsecured financial creditors like depositors only after that.

Shivram: You’re telling me people who invested in DHFL NCDs will not take haircuts?

Janaki: They too will but probably less than FD holders.

Shivram: So is nobody going to take a bigger haircut than me?

Haircut under IBC rises to 60% in fiscal 2021, half the closes cases liquidated, BFSI News, ET BFSI

More than half of the total 4,376 cases under the Insolvency and Bankruptcy Code have been closed with the rest undergoing resolution.

Almost half of the 2,653 cases closed by lenders under IBC in fiscal 2021 have ended in liquidation while only 13 per cent were resolved, according to the quarterly bulletin of the Insolvency and Bankruptcy Board of India.

About 23 per cent of the closed cases are either under review or under appeal.

In 16 per cent of cases, the companies were handed back to the promoters after they cleared part of their dues under Section 12A of the insolvency act.

About 43 per cent of cases admitted so far are filed by the financial creditors while the rest 51 per cent of the admitted cases were initiated by operational creditors.

Haircut rises

In the resolved cases, the haircut, or the loss to banks on their claims, rose to 60 per cent in fiscal 2021, from 55 per cent average in the previous years.

In the March 2021 quarter alone, haircut rose to a whopping 74 per cent of the claims made by the lenders against the defaulters.

About 79 per cent of the ongoing cases till March this year have already passed 270 days since admission. Experts say delay causes erosion in the value of assets and increases chances for liquidation.

The IBC saw an addition of 499 new cases in the last financial year, where the process was suspended due to the Covid pandemic.

Liquidation

About 80% of bankruptcy proceedings involving a default of less than Rs 1 crore were initiated by operational creditors, while 80% of the cases with defaults of over Rs 10 crore were initiated on applications by financial creditors.

Around three-fourths of all bankruptcy proceedings started by operational creditors resulted in the liquidation of the corporate debtor while in case of proceedings initiated by financial creditors that have been concluded, nearly half of the businesses have faced liquidation.

About 74.37% of the corporate insolvency resolution process ending in liquidation (946 out of 1272 for which data are available) were earlier with BIFR and / or defunct.

During the quarter January-March 2021, 149 corporate insolvency resolution process (CIRPs) ended in orders for liquidation, taking the total CIRPs ending in liquidation to 1277, excluding 10 cases where liquidation orders have been set aside by NCLT, NCLAT or courts.

Of these, a final report has been submitted in 240 cases. There are 1,037 ongoing liquidation processes.

During January-March, 2021, 34 more liquidation processes were closed, taking the total number of closures by dissolution, sold as a going concern or compromise or arrangement to 138.

Growing stress

The corporate sector has pitched for a fresh suspension, arguing that there will be additional stress in the wake of the lockdown announced across most states to check the surge in cases, which are still rising by over three lakhs daily.

Industry body Assocham has urged the government to reimpose a moratorium on taking debt-ridden firms to the NCLT under the IBC till December this year following the severe second wave of coronavirus. In a representation to the Finance Ministry, the chamber said that given the increasing pressure on businesses, it would be imperative to extend the NCLT (National Company Law Tribunal) moratorium to ensure that the pandemic “does not wreak havoc” on the economy.
