Blockchain-based fan engagement platform SportZchain has raised $4,00,000 in a pre-seed funding round led by Darq Capital. Jagadeesh Atukuri, Director of Comply Dot, and SHISAN Investments (co-founded by EX-COO of Goldman Sachs) among others also participated in the round.

The funds will be utilised to build the platform’s alpha version of an interactive blockchain-based web app and implementing branding & marketing initiatives to drive awareness around its unique offerings.

Ideated in March 2021, the Singapore-based SportZchain was founded by Siddharth Jaiswal with the belief that sports fans deserve a basic right to be heard by their favourite sports teams, help them make the right decisions by voting on official binding polls, and reap financial gains by owning branded sports token.

The company is backed by Ajeet Khurana (Ex-CEO of Zebpay and Head of Blockchain & Crypto Committee, India), Suhail Chandok (Star Sports TV Presenter, Analyst & Commentator – IPL, ICC Cricket, World Cups, Pro Kabaddi, Wimbledon, etc.), Oksana Belousova (CEO of Fenix Technology), to name a few.

PCHFL to raise up to ₹1,000 cr through NCD

Piramal Capital and Housing Finance on Wednesday announced the issue of secured, rated, listed, redeemable, non-convertible debentures of the face value of ₹1,000 each. “The Tranche I Issue has a base issue size of ₹200 crore with an option to retain over subscription up to ₹800 crore, aggregating up to ₹1,000 crore,” it said in a statement.

The tranche 1 issue opens on July 12 and closes on July 23 (with an option of early closure or extension). The lead managers to the NCD issue are AK Capital Services, Edelweiss Financial Services , JM Financial and Trust Investment Advisors.

PCHFL, is a wholly owned subsidiary of Piramal Enterprises . It is a non-deposit taking housing finance company, into wholesale and retail funding and is in the midst of acquiring Dewan Housing Finance Corporation Ltd (DHFL).

Rajesh Laddha, Executive Director and Group Chief Financial Officer, Piramal Enterprises said the funds raised will be used for retail disbursement. “The retail engine is in motion. We are getting more people and expanding branches,” he told reporters.

Focus on Tier 2 and 3 towns

Jairam Sridharan, CEO, Piramal Retail Finance, said the focus of the business is on the retail segment in Tier 2 and 3 towns. This will get enhanced with the acquisition of DHFL. It is looking to focus on salaried and small business owners in these markets and offer them products such as two-wheeler and used car financing.

Commenting on the implementation of the DHFL resolution, Laddha said that multiple things are being done. He also noted that there is no regulatory bar for Piramal Group or CoC to go ahead with resolution implementation.

“We are preparing a checklist where all issues will be sorted out. How the NCDs of ₹19,000 crore will be issued and allocated within the CoC to its members. Work is on at the CoC and Administrator’s end. There are small issues with regard to merger, getting DHFL equity and NCDs delisted,” he said.

BukuWarung raises $60 million in Series-A round

Indonesian fintech company BukuWarung, founded by Indian entrepreneurs Chinmay Chauhan and Abhinay Peddisetty, has raised $60 million in Series-A funding, increasing the total fund raised to about $80 million.

The round was led by US-based venture capital firms Valar Ventures, early investors in global fin-tech unicorns Wise and N26, and Goodwater Capital, the company said in a statement.

Existing investors such as Quona Capital and angel investors such as former GoPay CEO Aldi Haryopratomo, Klarna founder Victor Jacobsson, Khatabook CEO Ravish Naresh and partners from SoftBank and Trihill Capital also took part in the round.

The funding is the largest Series-A round raised by an MSME player globally, it added.

Team size

BukuWarung will use the funding to enhance technology and product capabilities across core accounting, digital payments and commerce products. The company is expected to double the team size within a year by hiring across regions, including India, Indonesia and Singapore.

Abhinay Peddisetty, Co-Founder & CEO of BukuWarung, said: “The digital solutions specific to the needs of small businesses in the emerging economies of Asia and the world are the need of the hour with the aftermath of the Covid-19 pandemic”.

“We are already a leader in MSME digital payment in Indonesia. With this funding, we aim to leverage the talent base and learnings from the MSME ecosystem across Asia, including India, for the digital empowerment of MSMEs in Indonesia and beyond,” he added.

BukuWarung is a Y-Combinator backed technology company that builds digital infrastructure for 60 million MSMEs in Indonesia. To date, the company has more than 6.5 million registered merchants on the platform across 750 Indonesian cities and towns.

Religare Enterprises eyes fundraise to infuse capital into Religare Finvest, other businesses

Religare Enterprises Ltd (REL) Board will meet on June 8 to consider fund-raising to, among other things, infuse capital into its wholly owned subsidiary Religare Finvest Ltd (RFL) and other businesses, Rashmi Saluja, Chairperson, REL, said on Friday.

Saluja, however, declined to comment on the mode of fundraising and the quantum being looked at by REL. It could be through a rights issue or a preferential allotment to investors or even a combination of both, sources said.

“We are happy about the positive developments of the debt restructuring process of Religare Finvest Ltd ( RFL). Religare Enterprises Ltd, continuing as promoter of RFL, shall be a testament towards the merit of the organisation and win-win for all.

“Religare Enterprise is also looking to raise funds to infuse capital into RFL and our other businesses. These are very exciting times for all of us and we are confident of being on the right growth trajectory and resurrecting Religare group”, Saluja told BusinessLine when contacted.

Board meet agenda

The REL board plans to discuss fund-raising at its June 8 meeting sparked a sharp rally in its stock price, which climbed nearly 20 per cent to close at ₹142.4 on Tuesday, up ₹23.7 over the previous day’s close.

There is now wide speculation that the Tuesday board meeting could see discussions around enabling existing investors such as the Burman family getting a larger stake in the company.

REL bringing an external investor also cannot be ruled out, sources said.

RFL rejig

REL going in for a fund raise comes at a time when there are signs of positive development around the fresh debt restructuring process (DRP) being pursued by RFL, which is still barred by the RBI from undertaking fresh business.

The fact that the revised DRP — with REL continuing as the promoter of RFL — is now under the consideration of the lead banker State Bank of India, has raised hopes of the entire RFL debt restructuring getting over by August this year, sources added.

Between last January and May this year, REL, through RFL, is understood to have repaid debts amounting to ₹6,900 crore and still had an outstanding debt of ₹4,200 crore.

Exim bank eyes to raise $3 billion in FY22

Export-Import Bank of India may raise about $3 billion in FY22, as against $2 billion in FY21, to support Indian exports, as the global trade is gradually opening up.

David Rasquinha, MD & CEO of the bank, said that he sees demand for pharmaceuticals, chemicals, home textiles, among others, gaining traction as advanced economies are gradually coming out of the Covid-19 pandemic. “This opens up an opportunity for Indian exporters,” said Rasquinha.

Exim Bank expects credit growth in the 7-12 per cent range in FY22 (against 7 per cent in FY21), depending on how quickly the economy revives and how the exchange rate moves.

Harsha Bangari, Deputy Managing Director, observed that the borrowings by Exim Bank will be cautiously calibrated to match credit growth in FY22. In January 2021, the bank had raised $1 billion for a 10-year tenor at a coupon rate of 2.25 per cent in the 144A/Reg-S format.

Meanwhile, Exim Bank, which is a wholly owned government of India subsidiary, reported a 105 per cent jump in net profit at ₹254 crore in FY21 as against ₹124 crore in the year ago period.

Loan portfolio edged up 4.43 per cent year-on-year to ₹1,03,851 crore as at March-end 2021 against ₹99,447 crore in FY20. Non-fund portfolio declined about 10 per cent year-on-year to ₹14,229 crore (₹15,869 crore).

Rasquinha emphasised that Exim Bank gives almost 80 per cent of its loans in foreign currency. So, when rupee appreciates against dollar, the loan portfolio in rupee terms comes down. However, in dollar terms, the loan growth was 7 per cent in FY21.

HDFC Bank plans to raise ₹50,000 crore of capital through perpetual debt instruments.

“The bank proposes to raise funds by issuing perpetual debt instruments (part of additional tier I capital), tier II capital bonds and long-term bonds (financing of infrastructure and affordable housing) up to total amount of ₹50,000 crore over the period of the next 12 months through private placement mode,” it said in a regulatory filing.

The Board of Directors would consider this proposal on April 17.

AU Small Finance Bank raises ₹600 crore through QIP

AU Small Finance Bank on Tuesday announced that it has completed the allotment of equity shares under its Qualified Institutions Placement and has raised ₹625.5 crore through the issuance of 50 lakh equity shares at an issue price of ₹1,251 per share.

“The Issue was launched post market hours on March 9 with a Floor Price of ₹ 1,181.06 per share and witnessed strong reception from both domestic and international institutional investors and the entire QIP was subscribed by sovereign wealth funds, large foreign portfolio investors, life insurance company and domestic mutual funds,” it said in a statement.

The issue was launched on March 9, with a floor price of Rs 1,181.06 apiece.

The QIP witnessed strong reception from both domestic and international institutional investors and the QIP was subscribed by sovereign wealth funds, large foreign portfolio investors, life insurance companies and a domestic mutual funds, AU Small Finance Bank said.

AU Bank intends to use the net proceeds for supporting long-term growth aligned to the bank’s internal risk appetite, to maintain sufficient headroom over and above the regulatory capital adequacy requirements; and for general corporate requirements or any other purposes, it said.

The allottees who have been allotted more than 5 per cent of the equity shares offered in the issue were : Government of Singapore (26.69 per cent); Monetary Authority of Singapore (5.91 per cent), HDFC Life Insurance Co Ltd (23.60 per cent); and Small Cap World Fund, Inc (39.66 per cent).

“We have successfully closed the first ever QIP of the Bank. We received a strong reception from global and local investors which is a testament to the quality of our banking franchise and our future outlook,” said Sanjay Agarwal, MD & CEO of AU Bank.

The Bank has emerged stronger after the pandemic, and the bank’s performance gives it greater confidence to continue serving the small businesses and retail borrowers in the underserved and unserved rural and semi-urban regions of the country, Agarwal said.

“We intend to use the net proceeds from this issue, amongst others, to support the long-term growth of the bank,” he added.

Stocks of AU SFB were trading at Rs 1,227 apiece on BSE, up 3.35 per cent.

Mumbai, Punjab National Bank will not take part in the capital raising plans of PNB Housing Finance.

Last August, the Board of PNB Housing Finance approved raising Rs 1,800 crore of equity capital through preferential issue or rights issue.

Referring to the decision, PNB Housing, in a regulatory filing, said that it will continue to pursue with the proposed capital raising plan.

“Punjab National Bank has communicated that it shall not be participating in the capital raise plans of the company. However, the company will continue to pursue with the proposed capital raising plan through permitted modes,” the filing said.

‘Magma, on its own, was finding it difficult to compete with the big boys’

“This is a very significant fund-raise, our current networth is about ₹2,560 crore and this is about ₹3,450 crore. It is more than 150 per cent of our current net worth,” said Sanjay Chamria, Vice President and Managing Director, Magma Fincorp, on the proposed deal with Adar Poonawalla-controlled Rising Sun Holdings.

In an interview with BusinessLine, Chamria said it will benefit both Magma and Poonawalla Finance and regulatory approvals are expected soon. Edited excerpts:

What are the plans once the deal is finalised?

From my understanding, in addition to the product range that Poonawalla Finance has, which is professional loan and business loan, Magma has seven products and that is what they see as an advantage. We have a secured product range — used assets, tractors, LAP, affordable housing, MSME. Adar Poonawallas’s idea is that India is a vast and untapped market for tapping micro and small enterprises, which are constantly deprived of loans from the banking sector. Magma being a 32-year old organisation with 300 branches provides a readymade platform.

What is the benefit to Magma Fincorp?

Magma, on its own, was finding it difficult to compete with the big boys due to their capital base, huge corporate backing, cost of funds being higher, and rating.

Poonawalla Group has today become synonymous with the vaccine and such a large group with so much of cash reserve will provide a lot of strength to Magma in terms of credit rating, dealing with the banking system and lower cost of funds. That way one can also service the customers better by lowering the rates at which you lend and get better quality customers and asset quality also improves. It becomes a virtuous cycle rather than a vicious cycle.

When is the transaction likely to be completed?

The shareholder meeting is on March 9 and we are simultaneously applying to the regulators for approval. We are a listed company and are regulated by the Reserve Bank of India, National Housing Bank and Insurance Regulatory and Development Authority of India. This deal is at the listed company level and that is the holding company for the housing finance company and also the dominant promoter in the insurance company. There is also CCI approval we have to get. All these regulatory approvals will move on a parallel manner and we should be able to consummate it sooner than later.

Has liquidity been a problem for Magma post the pandemic?

Liquidity has not been a problem, it has been available in abundance. Even in our quarterly results, we have said over the last three quarters we are sitting on a liquidity of more than ₹2,000 crore but our cost of funds is 9.5 per cent, whereas Poonawalla Finance’s cost of funds is 7.2 per cent. The differential is 2 per cent plus. In finance, money is the raw material. So, if that is higher, that can make an enormous difference. The rating is AA+ given the small corporate backing of Poonawalla Finance and our rating is AA-. The credit rating will improve.

What happens post consolidation of the two businesses? Will the headquarters move from Kolkata?

Poonawalla Finance will surrender the NBFC license and will get consolidated into Magma and Magma will be renamed Poonawalla Finance. It will get a new brand and get the backing of the strong corporate group. Adar will become the Chairman of the company and I will continue as the vice chairman. My role will be to ensure the process is smoothed and the integration becomes successful. Shifting of head office will be looked at later, nothing will be done in a disruptive manner. Magma’s corporate office is already in Mumbai.

Ruptok Fintech raises ₹10 cr from Canadian investment firm Wurk

Ruptok Fintech Private Ltd, a fintech-platform for gold loans, has raised ₹10 crore in an Angel funding round from Canadian investment firm Wurk.

The company will use the funding to fuel up its business and operations in Jaipur and Mumbai by March , and to acquire manpower, the company said in a statement.

“During the pandemic, we have witnessed several people facing liquidity crunch and selling their assets to accomplish their financial needs. Our idea behind launching Ruptok last year was to offer an easy financing options to the customers at the comfort of their doorstep,” Ankur Gupta, Founder and CEO of Ruptok Fintech, said.

Founded in July 2020 by serial entrepreneur Ankur Gupta and Akshita Gupta (Head HR) and Yashwardhan Aeren (Head Product Development), Ruptok provides instant loans against gold jewellery within 30 minutes.

“Indian fintech market has witnessed a tremendous growth trajectory in past few years, especially during pandemic. The global crisis has brought a fundamental shift in consumers’ behaviour and preferring most of the services at their doorstep. At present, the market is attracting a pool of innovative ideas and distinctive solutions to address the core solutions of the consumers by providing the utmost convenience,” Barbara Holding, a Wurk spokesperson, said.
