Fintech unicorn CRED plans to acquire Happay, a corporate expense management company.

The acquisition is expected to be a cash-and-stock deal, potentially valuing Happay at about $180 million. While Happay will operate as a separate entity, the team will work closely with CRED to expand the product offering and drive scale. Happay’s 230-member team will get all the benefits extended to CRED team members, including the ESOP programme.

Happay is a business expense, payments and travel management platform serving over 6,000 businesses. It manages work-related expenses for over one million users globally, with about $1 billion in annual spends. Its customers include TATA group, PwC, Maruti, OYO, Byju’s and Udaan, among others.

Fintech start-up Simpl has raised $40 million Series B funding from Peter Thiel’s Valar Ventures and IA Ventures along with the participation of LFH Ventures and other investors.

With this round, the total capital raised by Simpl has reached $83 million. Simpl’s flagship product is a ‘buy now pay later’ offering called 1-tap Pay Later. Earlier this year Simpl released two new features — Billbox and Pay-in-3. Simpl’s Pay-in-3 feature allows customers to pay for their purchases over three equal payments every month. Further, Billbox feature ensures that all recurring utility bills like electricity, gas, water, broadband bill, etc, are paid automatically and the bill is added to the customer’s Simpl Bill which can be cleared at one go every 15 days.

Push to mobile payments

Over the past 18 months, Simpl claims to have grown its monthly active merchants and its monthly active users by 10X. Simpl works with over 7,000 online merchants including Zomato, MakeMyTrip, Big Basket, Jio Platform, 1MG and Crocs.

CRED targets ₹100-crore ESOP buyback this year

Fintech unicorn CRED has announced that the cumulative ESOP buyback under its ‘accelerated wealth programme’ will be upto ₹100 crore this year.

All the CRED team members who have vested options as of October 31, 2021, will be eligible to participate in the buyback event and sell a portion of their vested shares. CRED’s accelerated wealth programme was launched in August as an additional revenue stream for its team members.

Fintech SaaS start-up Clear raises $75 m in Series C funding from Kora, Stripe, others

Last month, CRED raised $251 million Series E funding from Tiger Global and Falcon Edge. There were two new investors, Marshall Wace and Steadfast, besides DST Global, Insight Partners, Coatue, Sofina, RTP, and Dragoneer. The funding round had valued the company at $4.01 billion.

Started in 2018, CRED rewards users points for making credit card payments. It has since added new offerings such as personal loans and rent payments as it attempts to become a full-stack financial service provider. The company also recently launched its peer-to-peer lending product, which allows CRED users to lend other users money at 9 per cent interest rate.

CRED noted in the newsletter that 40.07 per cent of CRED users/members had improved their credit scores in October by incorporating the suggested actions on the app, and members won ₹22 crore worth cashbacks.

Further, in September, CRED reported that electronic accessories (phone wallets, phone stands), audio products (earphones, neckbands and TWS earbuds) and smart home devices (smart home cameras and smart remotes) were the most ordered items on CRED Store. Nearly 1 in 5 transacting members are said to have picked electronic accessories or appliances, and coffee has seen the highest repeat purchase among members. Some of the popular brands on CRED Store include The Man Company, Bombay Shaving Company, Portronics, Smitch, Oakter, Yoga Bar, Wingreens and Raw Pressery, among others.

CRED launches new peer-to-peer lending feature, CRED Mint

Fintech platform CRED, on Friday, announced the launch of a new peer-to-peer lending feature called CRED Mint.

CRED Mint is the platform’s first community-driven product that enables members to earn interest on idle money by lending to other high-trust members. The product is being launched in partnership with Liquiloans, an RBI-registered P2P NBFC.

Members who participate in CRED Mint can earn inflation-beating interest rates of up to 9 per cent per annum, CRED said in an official release.

The platform started out as a credit-card repayment platform, rewarding users with points for paying their credit card bills. It then expanded its offerings, including rent payments and personal loans.

CRED members have, on average, ₹2 lakh sitting in their savings accounts. At up to 9 per cent interest, CRED Mint is meant to help enable India’s most creditworthy individuals to be rewarded for responsible financial behaviour, the company said.

CRED members can apply for early access to Mint.

How it works

Investments made in CRED Mint will be lent out through CRED Cash, a lending product created for high-trust CRED members, in partnership with licensed banks and NBFCs.

Members have leveraged CRED Cash for emergency spends over the past year; with over ₹2,415 crore disbursed.

The invested money will be routed directly to an escrow account held by CRED’s NBFC partner, Liquiloans, and diversified across 200+ borrowers on average, it further explained.

Members can invest between ₹1,00,000 – ₹10,00,000, commission-free.

They can request withdrawal in one click, partially or in full at any time with no penalty, and earn interest for the period invested. The withdrawal process will completely be online, and the money with interest will be returned to the investor within a working day, it further added.

Mumbai: A slew of companies harbouring fintech ambitions have made a beeline to the Reserve Bank of India to become licensed Payment Aggregators (PAs) under the central bank’s upcoming regulatory regime for non-bank payment providers.

Firms that have applied for authorisation or in advanced stages of submitting their proposals to the RBI include the Tata group, Amazon, Reliance Industries, Dutch payments startup Adyen, Paytm, BharatPe, PhonePe, CC Avenue, Razorpay, Cred, Zomato, PayU, Worldline, Pine Labs and CAMSPAY, sources involved in the diligence process told ET.

At least 30 firms are learnt to have submitted their proposals, sources said, indicating that the number of applicants could increase before the September 30 deadline for existing and new non-bank firms to apply.

The firms that will be authorised to operate as PAs in India will be under the direct purview of RBI in rendering payment services to merchants, in a step that many industry insiders said would lead towards a more standardised and regulated payments ecosystem.

“For long, the operations of PAs in India have been seen as a blind spot for regulations,” said a payments industry insider. “RBI’s PA/PG rules in this regard were introduced to ensure a standard for those firms offering payment service to merchants.”

“There is a feeling that any internet firm with a mass consumer base will be applying for a PA licence as the eligibility barrier is low and missing out on approval can limit any future expansion in offering fintech services,” the source said.

Under the new rules, any firm acquiring merchants would compulsorily need RBI approval to operate as a licensed PA, the source added.

The central bank’s new Payment Aggregator/Payment Gateway guidelines – introduced formally in March 2020 – mandate that only firms approved by RBI can acquire and offer payment services to merchants. Regulated banks do not need any separate approvals.

As per RBI rules, the eligibility criteria for a firm applying for PA authorisation is a minimum net worth of Rs 15 crore in the first year of application and going up to Rs 25 crore by the second year.

The firm also must fulfil ‘fit and proper’ criteria as well as be compliant with global payment security standards under PCI DSS, an information security protocol maintained by payment firms across the world.

“PhonePe has been operating as a Payment Aggregator, offering payment services to merchants on our network. In line with the RBI guidelines, we would be applying for the PA licence to continue offering payment services to our merchant partners,” a PhonePe spokesperson said.

According to Ramesh Narasimhan, Head – Digital Commerce, Worldline India, “Ingenico ePayments India – a Worldline brand, is in the process of directly applying for the Payment Aggregator license well before the deadline as we remain committed to deepening the reach of online payment solutions in India.”
Spokespersons for Adyen, Razorpay and Cred did not offer comment. Other firms cited earlier in the story did not respond to ET’s email. RBI also did not comment.

Newly listed Zomato said in exchange disclosure that it had already incorporated a wholly owned subsidiary to handle digital payments and payment gateway services.

Sources told ET that many leading e-commerce marketplaces, global payment firms, existing PGs and domestic consumer internet firms are also in line to apply for authorisations.

ET could not independently confirm these names.

“There is almost a sense that RBI is inundated with the rush of applications,” a second source aware of the matter said. “The indication has been that RBI will take a ‘First In, First Out’ approach in scrutinising different proposals. This means that the overall scrutiny process is likely to take a few months.”

“The regulator will also allow firms to continue their operations until they communicate the fate of the respective proposals. For a PA operating in India whose application has been turned down, the expectation is that RBI will offer a window to wind down its operations,” the source, who is the chief executive of one of the firms applying for authorisation, told ET.

RBI defines PAs as entities that facilitate e-commerce sites and merchants to accept various payment instruments from the customers for completion of their payment obligations, without the need for merchants to create a separate payment integration system of their own.

PGs are defined as entities that provide technology infrastructure to route and facilitate processing of an online payment transaction without any involvement in handling of funds.

The motive of the new PA/PG guidelines could also be to have a better supervisory control over payment operations of internet and e-commerce firms in India.

The applicability for PA/PG authorisation could be made ‘on-tap’ after the initial set of approvals, a third source said.

CRED raises $81 million in Series C round, initiates buyback worth ₹9 crore

Bengaluru-based credit card bill repayment platform CRED has raised $81 million in Series C round at a post-money valuation of $806 million, led by existing investor DST Global.

The round also saw participation from Sequoia Capital, Ribbit Capital, Tiger Global and General Catalyst. Besides, investors such as Sofina, Coatue and Satyan Gajwani (vice-chairman of Times Internet) also took part in this round.

Following the fund-raising, existing and former employees have liquidated their Employee Stock Ownership Plans (ESOPs) worth $1.2 million (₹9 crore).

“As we raise funds to support our next phase of growth, it’s important to acknowledge the role that employees have played in our success. We are committed to enabling wealth-creation opportunities for them and have allocated 10 per cent of our cap table allocated for ESOPs even at the Series C stage,” CRED Founder Kunal Shah said.

CRED processes 20 per cent of all credit card bill payments in India.
