DBS Group Holdings Ltd. has sufficient capital to bid for Citigroup Inc.’s consumer assets in India valued at S$2.7 billion ($2 billion) without needing to raise additional funds, Sanford C. Bernstein & Co. analysts said.

It’s a case of “either go big or go home” for DBS to further expand in India where the Singapore-based bank also acquired Lakshmi Vilas Bank Ltd. in November, Bernstein analysts led by Kevin Kwek wrote in a report Thursday. DBS Chief Executive Officer Piyush Gupta last month said he is interested in the U.S. bank’s assets that are for sale in the South Asian country, as well as in China, Taiwan and Indonesia.

A takeover of Citi’s India unit would be DBS’s largest acquisition since 2001, when the Singapore firm spent $5.4 billion buying the Hong Kong unit formerly known as Dao Heng Bank Group Ltd. Among the U.S. bank’s assets for sale, India stands out as “the crown jewel,” Kwek wrote. Its credit card and wealth business would be attractive to any bidder given the country’s economic growth rate and population size, he added.

DBS has pledged to make more income outside its home turf, where the bank derived 70 per cent of its S$4.7 billion profit in 2020.

DBS remains very disciplined on acquisitions and wouldn’t be drawn into any “bidding frenzy,” Gupta said April 30 when asked about his interest in Citi’s asset sale.

Citi plans to exit retail banking in 13 markets across Asia, Europe, the Middle East and Africa, as part of a strategy by CEO Jane Fraser, who took over in March.

In April, DBS said it would pay S$1.1 billion for a 13 per cent chunk in China’s Shenzhen Rural Commercial Bank Corp., and Gupta has indicated an interest to raise the size of that stake.

Including the amount spent on the Chinese bank, the Bernstein analysts assumed a total budget of S$4 billion for acquisitions this year, which would bring the bank’s common equity Tier 1 ratio down to 13.1 per cent, from 14.3 per cent as of March 30. While that would still be above the regulatory minimum requirements, it may impact the firm’s dividend payout for 2021, Kwek said.

“But to be fair, earnings momentum this year looks promising, and management rhetoric will likely be that it comes back later by way of earnings, and subsequently higher payouts,” Kwek said. “Investors should ask: what does DBS believe it can do better than Citi?”

A blip or a pause of three months should not affect the long-term story of our economy, says Ashwani Bhatia, MD, State Bank of India.

What is your understanding of the economy and the business impact of the second Covid wave? The first wave was brutal on banks and the economy. How big has been the collateral damage so far?
It is kind of a repeat of what we had last year except for the fact that the spike in the infection curve has been parabolic. That was not expected. Last year, the lockdown came in the last week of March. This time it has come in the third week of April in different locations. We saw an increase in deposits initially and then in the second half the credit pick up happened, housing loans took off, governments gave discounts and reduced the stamp duty. Interest rates are already at a record low, demand was there and people have saved a lot and spent a lot also.

Till the first week of April, we have seen the instalments coming in. So, to that extent, we have not seen any deterioration in the numbers. Last year, we also gave options to customers, especially on the retail side, to postpone their instalments. But all the instalments came and we did not see any stress in particular over there.

Going forward, I would only hope and pray that the same thing repeats in this financial year also. So far, it is holding up. We hope that this does not last more than a quarter and the flattening of the curve starts happening soon. The fact that the government announced vaccination for all above 18 from May 1 is welcome. Money has gone into Bharat and it has gone into Serum Institute. So, some kind of supplier credit has happened. From our side, we can only be hopeful. It is too early to take any call very frankly.

The problem is at the bottom of the pyramid, the lower strata and the MFI space where job losses have happened and migrant labour issues are going to be challenging. Will the second wave impact this end of the society and would the borrowing cycle be even harder because the numbers are so big that the impact is going to be felt very hard?
Quite possible but again, it is very difficult to give a definite direction. If more lockdowns are announced, there could be loss of life and livelihood just like last time. This may be repeated this year also but it is too early to take a call on the numbers or on the delinquencies. The initial estimates are that the lockdown is not as severe as it was last year where there was no traffic on the roads, no toll collection, the aircraft were not running, the trains were not permitted to run and so on. This time, it has been more measured, more calibrated. So the collapse of demand may not be as strong this time around.

Digital may continue to see an uptick, deliveries are happening and to that extent, the services sector that was really impacted may not be that bad. Very frankly, it is just a wait and watch kind of a situation and I do hope that within the next one month, things improve.

Last time, RBI came out with a moratorium to help the borrowers. The government came out with credit guarantee schemes which gave a lot of help to the entire SME and MSME sector. Do you think a similar scheme should be considered again?
I think the jugalbandi that you saw last year will continue into this year also. So let us just go back to what the governor said in his last policy statement. He actually used the word whatever it takes and there are plenty of measures that RBI can always take and the fact that he has announced things like the government securities acquisition programme, the fact that he said OMOs would be in addition to this. He will be accommodative to all those things. RBI will be in readiness to provide all support to the financial sector, to the industry and to the economy.

There was some optimism in the last couple of months. Could the second wave challenge that optimism?
Three months in the life of an economy does not really make a difference. At the most, it can be postponed by three months to six months. The commodities cycle still looks pretty strong, pretty robust. A blip or a pause of three months should not affect the long-term story of our economy.

Birla AMC has already filed for an IPO. There is HDFC Life. There is Nippon. There is Birla. When will SBI AMC see the light of the day?
I would think that within a year we should be done with the process. So SBI Mutual Fund will definitely be the next subsidiary of the State Bank Group that will be listed. So maybe around the first quarter of the next financial year.

The digital business which is the YONO business, has reached a critical mass both in terms of size and the fact that it is now nearing its break even while a lot of other fintech firms in the payment business are still losing money. When are you planning to monetise it?
The question of monetising may be some time away or we are not even thinking about it. It still needs to gain critical mass. We think that it will grow very fast this year also. We have been having a CAGR growth of about 35% there. We are in excess of 5 lakh crores plus the PMS that we do is another Rs 7 or 8 lakh crore or so. The total business that is managed is about Rs 13 lakh crore. It has scaled up very well. The profitability numbers are also likely to be decent for the previous financial year and the digital bit. So many changes are happening every other month. A lot of scope exists over there.

State Bank of India is the only large bank which did not raise capital even at the peak of the pandemic news. Do you have sufficient capital buffer to participate in the growth cycle?
We are very comfortable at the moment. You will see our numbers within the next one month. We think that our capital requirements are met by our own internal reserve and profits that we have. As time goes, we will have a look at equity raising but in the next six to seven months, I do not think we’ll be coming to the market. We are quite well and adequately capitalised at the moment.

Citi India has gone on record saying that they want to monetise their consumer businesses, credit business and wealth management businesses. Is there any business there which excites you?
Certainly. So maybe not the whole piece, but if it is available in segments, we may look at some part of it.

Can you be slightly more specific about which end of the business excites you?
There are plenty of things. Number one is their retail franchise itself. The kind of clientele they have is interesting as is credit cards business and even their housing portfolio. We will examine it once the opportunity is shown to us.

ET Now: A lot of other banks are facing breakdown issues including some of the best private sector banks but SBI has done a great deal of technology advancement. How did you adopt that?
Ashwani Bhatia: When SBI Mutual Fund became number one in the market, somebody asked me how could you beat the private sector players and I said why not? Where do we lack in human resources, capability and reach? I would give the same answer here also.

SBI has reinvented itself again and again. We have shown direction everywhere. In the ‘60s and ‘70s, it would have been the small scale industry (SSI) or agriculture, MSME sector wherever. I would think that we would continue to be thought leaders and provide support in whatever form and we will use the best in-house talent to improve our capabilities, our products and our technology.

Citi will shut its India retail banking business, which includes credit cards, savings bank accounts and personal loans, as part of a global decision to exit 13 markets as the US-based lender focuses on a few wealthy regions around the world.

However, the most lucrative is the bank’s credit card business, which may draw multiple bidders, according to experts.

“Private Banks and credit card companies like SBI Cards can be key beneficiaries of market share gains in the credit card segment. Some smaller private banks might be interested buyers of India portfolio as they are looking to scale-up in the segment. Foreign banks might also look to expand their presence,” a Jefferies note said.

DBS India, which want to expand in India, may be among the aggressive bidders for Citi’s credit card portfolio.

Citi credit cards

Citi started retail operations in India in 1985 and was among the pioneers of credit cards in the country. However, its share of credit cards has dropped from 13% to 6% now. Despite being the fifth-largest player in the space, Citi has the highest average spend on its card touching close to 2 lakh per card. The average spends per card for Citi is 1.4 times higher than the industry average, making it a profitable business for the bank in India. The other four major players have had nearly the same steady growth in spend per card at 11-12%.

Citibank‘s outstanding credit cards as of February stood at 2.65 million, the largest among foreign banks in India, ahead of 1.46 million by Standard Chartered and 1.56 million by Amex. Citi India had 2.9 million retail customers with 1.2 million bank accounts as of March 2020.

At the end of March 2020, Citibank served 2.9 million retail customers with 1.2 million bank accounts and 2.2 million credit card accounts.

The market

The total number of cards in circulation in India, as per a Worldline India Digital Payment report for 2020, stood at 946.81 million as of December 2020. As of December 2020, the average ticket size of credit cards was Rs 3,653, while that of debit cards was Rs 2,568, Worldline said. However, according to a 2019 report, despite being the fifth-largest player in the space, Citi boosts the highest average

spend on its card touching close to 2 lakh per card. The Indian credit card market is a fairly crowded place with 74 players operating. The top 5 players, however, have a comfortable 78% share by the number of cards and 75% share by credit card spend. HDFC bank is the leader at close to 31% share followed by SBI cards at 19%, which is trailed by ICICI, Axis, and Citi.

After shutting down its India retail banking business, Citibank will focus on corporate and institutional banking business in the country as part of a strategic rethink.

The bank will focus now on strengthening its position in corporate, commercial and investment banking, treasury and trade solutions, along with markets and securities services. it will look at delivering innovative digital solutions, to large and mid-sized Indian companies and multi-nationals, financial institutions and start-ups. Citi will also focus on growing its five Citi Solution Centers which support global initiatives, with India serving as a strategic talent hub.

It will retain its wealth management business to serve institutional clients in a market that is known for rich non-residents.

Change in strategy

India CEO Ashu Khullar said the change in strategy will help the bank Citi strengthen its ability to service large corporate and institutional clients. “We will continue to deliver our innovative digital solutions, backed by our global network, and devote our resources to large and mid-sized Indian corporates and multinationals, financial institutions, start-ups in the new age sectors, amongst others. India is a strategic talent hub for Citi. We will continue to tap into the rich talent pool available here to continue to grow our five Citi solution centres which support our global footprint.

Global focus

It will focus on corporate and institutional banking business in the country as part of a strategic rethink, CEO Jane Fraser said in a press statement after the bank announced its 2020 results.

“As a result of the ongoing refresh of our strategy, we have decided that we are going to double down on wealth,” Fraser said in the release. The move to focus on the remaining markets “positions us to capture the strong growth and attractive returns the wealth management business oers through these important hubs.”

“It’s been a better-than-expected start to the year,” Fraser, who took over last month, said in a statement Thursday. She credited the “strong performance” of the company’s Wall Street operations and said the firm is optimistic about its outlook for the economy.

Citigroup has raised more than any other bank for special-purpose acquisition companies this year, as managers of the vehicles set out to hunt unspecified takeover targets. That helped the firm reap $876 million in fees from equity underwriting. Quarterly stock-trading revenue, typically less than $1 billion at Citigroup, surged to $1.48 billion.

The financials

Results released in August 2020 showed the bank made a net profit of Rs 4,912 crore in the year ended March 2020 up 17% from Rs 4,185 crore a year. Net NPA inched up to 0.60% from 0.50% in March 2019. CASA ratio dropped to 55.8% in March 2020 from 60.3% while the capital adequacy ratio dropped to 15.90% from 16.50% a year earlier.

The bank held a 5.87% market share in digital Payments and 8.25% of India’s merchandise and software services trade owns as of March 2020.

Citi India has elevated Arjun Chowdhry as its consumer banking business head managing the domestic retail banking, wealth management, credit cards, loans and mortgages.

He will join the Asia Consumer Leadership team to ensure alignment with global and regional priorities attracting the right talent to build world class teams.

Arjun will be reporting to Ashu Khullar, CEO, Citi India and Fabio Fontainha, APAC & EMEA Head of Retail Banking.

The appointment is effective January 8, the local unit of the American banking major said in a statement on Monday.

The bank said, “Chowdhry joined Citi as a management associate and has held diverse roles, starting with consumer operations, moving to wealth management, NRI (non-resident Indian) and deposit products, credit cards, loans and payments.”

Arjun holds a B.Sc. (Hons) degree from St Stephen’s College, Delhi, and a PGDM (MBA) from the Indian Institute of Management (IIM), Bangalore.

The bank said, “Citi follows a segment-led strategy with a clear focus on digitization of the entire banking life cycle, from acquisition through transactions and servicing, resulting in strong growth in new-to-bank clients, volume and wallet share. Citibank India continues to have the leadership in wealth management, being the largest foreign bank in terms of AUM. Citibank India has redefined digital engagement with a revamped Citi Mobile app. Digital is the most preferred channel for Citibank India’s consumer banking customer engagement, with about 75 percent of financially active customers accessing their accounts through the bank’s online portal and mobile app, over 96 percent transactions done via self-service.”
